Olympic Blvd. Suite 200 EXECUTIVE TOWER, Los Angeles, CA 90064 Dear Hadyn Ward, This agreement sets forth the understanding between you (an individual, representing yourself, or if applicable, acting as legal representative for a group, business entity or corporation) and 272 respecting the use of “Johnny No Cash” for the inclusion on the CD ‘Acoustika Vol. 27’ released and distributed by 272 Records. 1. 272 Use of Your Materials. You agree to supply to 272, at your own expense, broadcast quality CD Media masters. You agree that 272 has no obligation to return your Media, and 272 shall own the copies of the Media elements that you provide and any copies that 272 makes in accordance with this Agreement. 272 however will not own any copyright (including the sound recording) or publishing rights to Media elements outside of any rights explicitly outlined in this agreement. You also agree that: (a) 272 may make copies of the Media and perform mechanical reproductions of your elements for the purpose of a worldwide release and distribution of ‘Acoustika Vol. 27’ a compilation CD; (b) 272 may use the song for the purpose of advertising of the compilation and marketing of the compilation, including, but not limited to demonstrations at trade shows, radio or television programs, or as web-based streamed programs; (c) 272 may use your pseudonym, name or likeness, only in conjunction with the licensing order for all advertising, marketing or promotional purposes regarding “Acoustika Vol. 27”. (d) 272 agrees to pay you $6.00 USD for every copy sold of ‘Acoustika Vol. 27’ from your website or MySpace page using the PayPal button 272 provides upon the release of the record. 2. Representations and Warranties. You represent and warrant that: (a) You have the full right and power to enter into and perform this Agreement, and have secured all third party consents, licenses, and permission necessary to enter into a perform this Agreement; (b) The rights granted herein are free and clear of any claims, demands, liens or encumbrances; (c) Song shall not contain “samples” of any third party’s sound recording or musical composition and will not infringe on any third party’s copyright, patent, trademark, trade secret or other proprietary rights, rights of publicity or privacy, or moral rights; (d) All factual assertions that you have made and will make to us are true and complete. 3. Governing Laws, Jurisdiction, Venue. The Agreement shall be governed by and construed in accordance with the laws of the State of California without regard to that State’s conflict-of-law provisions. You consent to personal jurisdiction and venue in Los Angeles County, California If the foregoing correctly sets forth your understanding of our agreement please so indicate by signing in the space provided below.
