MINUTES OF THE ANNUAL GENERAL MEETING OF AFC LEOPARDS SPORTS CLUB MEMBERS HELD ON 29TH JUNE, 2014 AT 10.00 AM AT NYAYO STADIUM PRESENT Mr. Allan Kasavuli – Chairman Mr. Patrick Ngaira – Vice Chairman Mr. George Aladwa – Secretary General Mr. Asava Kadima – Deputy Secretary General Ms. Esther Luvembe – Deputy Treasurer Mr. Timothy Lilumbi – Organizing Secretary Mr. Steve Mungo - Committee Member Mr. Samuel Limisi – Committee Member Ms. Carol Mayunzu – Committee Member Plus Four Hundred members (425) names attached. IN ATTENDANCE Mr. E.W. Mugo - Auditors MIN 1/AGM/2014 PRELIMINARIES The meeting was called to order after confirmation of the constitutional quorum requirements of a minimum of a third of all registered members. A total of 425 members attended the AGM out of the registered 526. MIN 2/AGM/2014: READING THE NOTICE CONVENING THE MEETING The notice convening the meeting was read by the Secretary General confirming that the notice was circulated in accordance with the clubs laws. It was noted that the notice was advertised in the daily nation newspaper of 8th June, 2014. The same had also been placed on the club website. The AGM agenda was amended to include two agendas, misconduct of NEC officials and AOB as requested by Mr. O. Kambona and approved by the Chairman of the Club. The new agenda was adopted as follows. 1. To read the notice convening the Meeting 2. To approve the minutes of the Annual General Meeting held on 29th June 2013 3. To consider and if approved, adopt the audited Financial Statements of the Club for the year ended 31st December, 2013 together with the Chairman’s Report, the Treasurer’s Report and the Auditor’s Report thereon 4. To consider and if approved, adopt budget estimates for the year 2015 5. To fill if any vacant position(s) in the National Executive Committee of the Club. 6. To consider and approve Auditors for 2014 7. Misconduct of NEC officials 8. AOB MIN 3/AGM/2014 CONFIRMATION OF PREVIOUS MINUTES Minutes of the AGM held on 26th June, 2013 were read and confirmed as a true representation of the proceedings. The Minutes were proposed by Mr. Makabila and Seconded by Mr. Mwale. MIN 4/AGM/2014: ANNUAL MANAGEMENT AND FINANCIAL REPORT FOR 2014 The Chairman report was read by the Chairman Mr. Allan Kasavuli The Treasurer report and the budget for 2015 was presented by the Acting Treasurer Ms. Esther Luvembe The Financial statements and Audited accounts for the year 2013 were presented by the Club Auditors, Mr. E.W. Mugo. After Question and answer, the Chairman report was adopted with amendment to remove the NEC proposed appointment of the treasurer and the deputy treasurer. The report was proposed by Justus Makabila and seconded by Mr. Lawrence. The Audited accounts for the year 2013 and the budget proposal for 2015 were not adopted and deferred to the next meeting. The deferment was proposed by Mr. Endayagwa and seconded by Mr. Anyula MIN 5/AGM/2014: FILING OF VACANT POSITIONS Members rejected NEC the appointment of Ms. Esther Luvembe as the club treasurer and Mr. Steve Mungo as the Deputy Treasurer through acclamation. It was resolved that the treasurer position would remain vacant until the next meeting. MIN 6/AGM/ 2014: AUDITORS FOR THE YEAR 2014 The approval of the club financial Auditors for the year 2014 was deferred until the next meeting. MIN 7/AGM/2014: MISCONDUCT OF NEC MEMBERS The Chairman approved members to discuss the conduct of the following NEC officials Mr. Patrick Ngaira – Case presented by Mr. Antony Walela and seconded by Mr. Oscar Kambona Mr. Samuel Limisi – Case presented by Mr. Derrick Lugonzo seconded by Mr. Agala Ms. Carolyn Mayunzu – Case presented by Mr. Derrick Lugonzo seconded by Ms. Nawekulo Mr Patrick Ngaira was accused of the following misconduct. Failure to pay for players signing fee on time despite being given money by the club Failure to pay money owed to the hotel for a player despite the money being handed to him. Collecting money from a well-wisher and failing to account for it in full. Out of Kshs 200,000 received, only Kshs, 150,000 was accounted for. Carolyn Mayunzu was accused of the following misconduct Collecting money from a well-wisher and failing to account for it in full. Out of Kshs 200,000 received, only Kshs, 150,000 was accounted for. Samuel Limisi was accused of the following misconduct Collecting money from a well-wisher and failing to account for it in full. Out of Kshs 200,000 received, only Kshs, 150,000 was accounted for. After deliberations, with reference to clause: 3.7. “Any member may be expelled or suspended from the club on grounds that his conduct has adversely affected the reputation or dignity of the club or that he has contravened the provision of this constitution” 3.8. “Any expulsion or suspension of a member shall be done on the recommendation of the National Executive Committee or by resolution of the general meeting of the club. Such suspension or expulsion shall be by a two-third majority of the National Executive Committee or of the general meeting of the club PROVIDED where a member is suspended or expelled by the resolution of the National Executive Committee, he shall have a right of appeal to the general meeting whose decision shall be final PROVIDED FURTHER that a member to be suspended or expelled shall have a right to address the committee or the general meeting at which his suspension or expulsion is to be considered” 4.5 “Any office bearer may be suspended or removed from office or expelled from the club in the same manner as laid down for the suspension or expulsion of members in Rule 3(7) and vacancies thereby created shall be filled by members of the National Executive Committee subject to the confirmation of any expulsion by the General Meeting of the club”. Members resolved by a vote as follows: 1. Mr Patrick Ngaira -Suspended from the club by a vote 2 for stay and 423 against 2. Carolyn Mayunzu -Suspended from the club by a vote 4 for stay and 421 against 3. Samuel Limisi -Suspended from the club by a vote 3 for stay and 422 against MIN 8/AGM/2014: AOB Members made the following observation that required the attention of the National Executive Committee: NEC should hasten the issuance of members registration cards NEC should provide accounts confirming the money owed to the former treasurer by the club NEC should enhance its marketing and mobilization committee to ensure that most branches are visited NEC should consider calling for Elections to fill the vacant positions.
