As published to fliuch.org/cro As promised here are the files on Irish Water from the Companies Registration Office (CRO). We’ve provided some context to each file but we’re looking to mainstream, independent and alternative journalists to parse through the documents and to give us better explanations of what they mean and we need better insider info on the directors of Irish Water. There are nineteen documents in all – some repeat info, others seem irrelevant but it’s the finer details that contain some surprises. CRO1 Download: fliuch.org/?ddownload=996 This is the ‘general’ company document. It lists the names and addresses of the directors and the secretary of the private for-profit company that is called Irish Water. CRO2 Download: fliuch.org/?ddownload=998 This is the Certificate of Incorporation (17/7/13). Company number 530363. CRO3 Download: fliuch.org/?ddownload=1017 This is the application to incorporate a company. It lists the initial directors of Irish Water (they made some changes later) and it lists the other directorships they have and had. There are people with directorships based in the Cayman Islands, the Channel Islands and Bermuda to name but a few. John Tierney’s list of directorships is eye-watering. The man seems to have a finger in every other pie in the country. Note: We redacted just one thing in this document – a passport number and date. CRO4 Download: fliuch.org/?ddownload=1000 The Memorandum and Articles of Association of Irish Water. This, in simple terms, lays out what Irish Water, as a company, intends to do/to get involved in – these can be (and were) changed later. This is an important document as it is effectively the ‘constitution’ and ‘statute book’ of Irish Water. Pay attention to: Section 2, Subsection 6 and Section 3, Subsection 3 and Subsection 11 onwards (the possibility of selling off all or parts of Irish water are in there). Section 3, Subsection 29 allows Irish Water to set up subsidiaries in “any other part of the world” – in other words it can set up tax avoidance ‘agencies’. Subsection 32 states very clearly that Irish Water can be would up and done away with – IT IS NOT WRITTEN IN STONE THAT IRISH WATER ARE HERE FOREVER. At the end of Section 3 there is a statement that basically says: If there is any confusion/contradiction in what the company can or can’t do then the answer will always be in favour of the company having more powers/options not less. Page 35, Section 2, it clearly states that Irish Water is a private, for-profit, company. Page 37, Section 5.2, it clearly states that Irish Water can be liquidated [sic]. The rest of the document is fairly standard (AFAIK) – there are some references to ‘Ministerial Consent’ – that means very little (a nod and a wink) and there are references to making a profit (a for-profit company as we keep saying) and there are references to the Directors getting a few quid for their troubles (read ‘cosy nest egg’/’rainy day funds’). CRO6 Download: fliuch.org/?ddownload=1002 A special resolution to amend the Articles of Association and Memorandum. What’s important here is the phrase used on page two: “We, the under-signed, being the sole voting member of Irish Water” – the sole voting member – no minister of the government, no department – none of them – have any voting rights in Irish Water. CRO7 Download: fliuch.org/?ddownload=1003 The new amended Articles and Memorandum of Association. Note Section 33 states very clearly that Irish Water, like any other company, can be wound up. The last page is very interesting. It states that the minister for the environment has one share, the minister for finance has one share and Bord Gais Éireann (BGÉ) also has one share. It’s also missing proper dates and signatures – is that a problem anyone? CRO8 Download: fliuch.org/?ddownload=1004 Appointment of a new director, Colman Sheehy, a ‘property consultant’, who is also a director of Merlot Properties which has judgements against it. (??) CRO10 Download: fliuch.org/?ddownload=1006 Appointment of a new director, Philip Lee, director of Ethiopian Business Links Ltd and a director of Pembroke Fencing – another director of Pembroke Fencing is listed as Timothy Paul William Bouchier-Hayes who is also a partner in the McCann Fitzgerald solicitor firm that coincidentally does all the legal work for Irish Water. mccannfitzgerald.ie/people/partners/timothy-bouchier-hayes.aspx CRO11 Download: fliuch.org/?ddownload=1007 Appointment of a new director, Regina Finn, also on the board of Mutual Energy (Northern Ireland) and the Channel Islands Competition and Regulation Authority and Lucerna Partners (regulatory and public policy experts) – PR and policies for regulators. There’s a load of waffle in there about taking care of consumers but most of her work was about opening up (liberalising) companies and markets. She’s been on the inside of two of our State regulatory bodies. She worked for the Irish Government and as deputy director general of the telecommunications regulator in Ireland – now ComReg. She also drove a new legislative framework liberalising key elements of the water market. Formerly with the Rehab Group, still a director of Virtual Machinery Ltd. partnersincommunication.ie/about.php CRO13 Download: fliuch.org/?ddownload=1009 Appointment of a new director, Brian McKeown, a retired Local Authority Engineer from Dublin City Council – he made news headlines back in 2005 regarding water conservation efforts due to Dublin’s growth and massive water leaks. CRO14 Download: fliuch.org/?ddownload=1010 Appointment of a new director, Thomas William Johnston Moore, front-line manager. Involved with Women’s Community Projects (Mullingar) Association Limited. There’s some confusion around this man as he also goes by the name Billy Moore – and allegedly he’s the chairman of the Longford-Westmeath Labour Party (irishtimes/news/politics/who-s-who-on-the-board-of-irish-water-1.1656718) CRO15 Download: fliuch.org/?ddownload=1011 Appointment of a new director, Hilary Martin Quinlan (developer), formerly with The Gathering Project 2013, currently a director of Jeweldale Limited and JMPHE Ltd. and a few more. irishtimes/news/politics/who-s-who-on-the-board-of-irish-water-1.1656718 Quinlan had a battery charge against him in Illinois dropped by US prosecutors in 2008. He had been arrested by police who were called to the scene of a wedding disturbance. CRO17 Download: fliuch.org/?ddownload=1013 An ‘Ordinary Resolution’ from 17/01/14 This was to sell 120 B shares to the ministers of finance and the environment for €0.01 at a premium of €999,999,99 each – that’s almost €240 million. (We’re open for correction here as we’re not economists). Between them both ministers are only allowed to own a maximum of €2.40 in shares in Irish Water. This is basically the same as the last document except one was an Ordinary Resolution whereas this one is a Special Resolution – we’re not sure if this is a duplicate or if it’s yet another €240 million.
