Bylaws of Kai Ula Ponoi Texas HCC BY-LAWS OF KAI ʽULA PONOʽI TEXAS HAWAIIAN CIVIC CLUB March 9, 2009 ARTICLE I – PURPOSE AND POWERS The purpose and powers of Kai ʽUla Ponoʽi Texas Hawaiian Civic Club are set forth in its Constitution. ARTICLE II – LOCATION The Civic Club shall be deemed located as set forth in its Constitution. ARTICLE III – MEMBERSHIP Section 1. There shall be the following categories for membership: 1. Regular membership: A member of Hawaiian ancestry, 18 years or over is eligible for membership. They shall be voted in by the Board of Directors. A regular member shall have the privilege to vote at all meetings of the membership, to be nominated for, be elected to, and hold office, to serve on committees to which he/she is appointed, and to participate in all of the organization’s activities. 2. Associate membership: A member who is not of Hawaiian ancestry, 18 years or over, who cannot qualify as to Hawaiian ancestry is eligible for membership as an Associate Member. This person pledges to support the purpose and objectives of this organization. They shall be voted in by the Board of Directors. An Associate member shall be entitled to vote at all meetings of the membership, to be nominated for, be elected to, and hold office, “except Pelekikena” as stated in Article IV, Section 2), to be appointed to chair or serve on committees, and to participate in all of the organization’s activities. 3. Life membership: Life membership may be conferred upon a member in good standing who has made significant lifetime contributions to the organization, the Hawaiian culture, and the Hawaiian community at large on a two-thirds (2/3) vote by the Board of Directors. Life members shall not be required to pay any further dues. Section 2. Membership / Application Process Membership in the Civic Club shall be by invitation and sponsorship only. The membership application forms will be provided by the Kakau ‘Olelo Ho’oholo or the Membership Committee. The application shall be signed by a member in good standing who shall act as sponsor for the applicant from initial indoctrination to induction. The application for membership shall be processed in the following manner: A. The sponsoring member shall submit the prospective new member’s application to the Club Secretary or a member of the Membership Committee. It shall be the responsibility of the Membership Committee to review and verify all the information provided by the applicant. B. The Membership Committee chairperson shall submit findings of the Committee to the Board of Directors with recommendation for acceptance or rejection. Following action by the Board of Directors the application will be subject to approval by a two-thirds (2/3) majority of the Board of Directors. C. All rejected applicants shall be notified in writing by the Chairperson of the Membership Committee. D. Acceptance of membership in the Civic Club will become effective only upon acceptance vote and payment of dues as prescribed in the By-laws. Section 3. Termination of Membership A. Resignation. Any member voluntarily resigning shall submit such termination in writing. This statement shall be effective on the first meeting of the general membership following the date of resignation. B. Expulsion. The Board of Directors reserves the right to terminate a membership if one of the following occurs: a. The Puʽukū notifies the Board of Directors of a member found to be delinquent in the payment of dues or other debts due to the Club by more than sixty (60) days. b. A member violates the Constitution and By-laws. c. The member must be given written notice and reasonable opportunity to address the Board of Directors concerning the proposed termination of membership. Section 4. Disciplinary Action of Members A. Any member of the Club, who is in good standing with this club, may bring disciplinary proceedings against any member of the organization for unethical, improper or criminal action. B. Upon receiving request for disciplinary action, the Board of Directors will convene a special meeting no later than ten (10) days from request to vote on whether to proceed. C. By a majority vote the Board of Directors will convene a Disciplinary Committee to investigate the allegations. The Disciplinary Committee will report its findings to the Board of Directors and make appropriate recommendations. D. Upon receipt of the Disciplinary Committee’s report the Board of Directors will hold a vote no later than ten (10) days after receiving said report. A 2/3 vote of the Board of Directors, is required to discipline a member, including but not limited to, verbal reprimand, suspension, or expulsion from the organization. E. If the Board of Directors vote to discipline, the member will have thirty (30) days to file an appeal at which time the process would go back to the Board of Directors, The Board of Director’s decision on the appeal by a 2/3 vote will be final. The appeal must be based on subject matter pertaining to the allegation. Section 5. Disciplinary Committee A. The Board of Directors will hold a special meeting upon receipt of allegations of wrong doing, By a majority vote the Board of Directors will appoint a committee comprised of three (3) members in good standing. B. The Disciplinary Committee will report it’s findings t the Board of Directors no later than thirty(30) days after being formed, unless other wise directed by the Board of Directors. C. Refer Art. 3, Sec. 4, A- E. Process of handling allegation. Section 6. Re-Instated Membership A. Former members of this Club whose termination occurred, and who, during such absence, has been observed to maintain active support of this Club’s purposes. Shall be permitted to seek reinstated membership. B. The member must submit an application to the Membership Committee, which shall forward to the Board of Directors. Section 7. Membership Dues A. Membership dues shall be set by the Board of Directors, subject to the approval by the general membership. Dues shall be set to an amount sufficient to meet the per capita dues and requirements of the Association of Hawaiian Civic Clubs and the Mainland Council. B. A person admitted to membership during the last quarter of any year shall be deemed to have paid his or her dues through the ensuing year. C. Annual dues shall be paid by the membership as follows until reset as stated above (Section 6.a): a. Single - $20.00 b. Family - $30.00 c. Lifetime Members - Will not be assessed annual dues. ARTICLE IV – OFFICERS, DIRECTORS, AND STAFF Section 1. Elected Officers shall be: President (Pelekikena) First Vice President (Hope Pelekikena ʽEkahi) Second Vice President (Hope Pelekikena ʽElua) Recording Secretary (Kakau ‘Olelo Ho’opa’a) Corresponding Secretary (Kakau ‘Olelo Ho’oholo) Treasurer (Puʽukū) Directors (Papa Alakaʽi) Section 2. Qualifications for Officers: The Pelekikena must be of Hawaiian ancestry. All officers must be members in good standing with the Club. Section 3. Appointed Positions. These positions will be appointed by the Pelekikena. These are non voting positions. Kahu – The Kahu shall provide spiritual leadership for the organization. He/she shall work closely with the Pelekikena and Officers of the organization, and shall attend all meetings, dedicatory exercises in meetings, initiation of new members and services for organization members if reasonably requested. Sergeant-at-Arms (Kaikuono) - The Kaikuono shall know the identity of all present at meetings and shall introduce the Pelekikena, all visiting members of other Hawaiian Civic Clubs and other guests. He/she shall be responsible for maintaining order at all meetings. Section 4. Nominations of Officers At the October meeting of the Board of Directors in the third quarter of the year, the Pelekikena shall appoint, with the approval of the Board of Directors, a nominating committee of three members in good Club standing. The nominating committee shall submit the names of one or more nominees for each office at a regular meeting of the membership at the November meeting. Those nominated must have given their approval. Nominations from the floor may be made at this November meeting. No member shall be nominated for any office unless he/she has been a member in good standing for at least a period of one year. Section 5. Election of Officers A. Officers of the organization shall be elected biennially by a majority vote of the general membership by secret ballot. B. Officers my serve a maximum of two consecutive terms. C. All elected Officers shall serve for a term of two (2) years until a successor is duly elected and installed. Section 6. Founding Officers A. The Founding Officers of this organization will serve for one year. B. The membership may elect to continue these officers for one additional year through a motion from the general membership. Section 7. Vacancies of Elected Offices. The position of any Officer and/or Director may be declared vacant by the Board of Directors when the said Officer and/or Director misses more than one (1) Board of Directors meeting per quarter, unless so excused by the Pelekikena. In the event of a vacancy of the Pelekikena’s office, the Hope Pelekikena ʽEkahi shall assume the office for the unexpired term. If the ʽEkahi or ʽElua Hope Pelekikena, do not have Hawaiian ancestry, the Board of Directors shall select another qualified member to fill this position for the unexpired term. Other vacated offices shall be filled by special general election for the duration of the unexpired term. ARTICLE V – RESPONSIBILITIES OF ELECTED AND APPOINTED OFFICERS Section 1. PELEKIKENA. A. The Pelekikena shall serve as the Chief Executive Officer of the organization and shall perform all duties which are incidental to this office or as directed by the Board of Directors. The Pelekikena shall represent the Civic Club at all Mainland Council meetings. B. The Pelekikena shall oversee the functions of the following committees/activities: a. The AOHCC Convention b. MCAOHCC Representative c. Constitution and By-laws d. Budget and Treasury e. Nominations/Election f. Facilitate all membership meetings Section 2. HOPE PELEKIKENA ʽEKAHI. In the absence or the inability of the Pelekikena to perform his duties, the Hope Pelekikena ʽEkahi shall act and shall have the same authority as the Pelekikena. The Hope Pelekikena shall oversee all administrative matters through the following committees/activities: a. Articles on Incorporation b. Charitable and Education Fund c. Membership d. Budget and Finance Section 3. HOPE PELEKIKENA ‘ELUA. The second Hope Pelekikena ‘Elua shall assist the Pelekikena in the performance of his/her duties and act with the authority of the Pelekikena and/or Hope Pelekikena ‘Ekahi during his/her/their absence or inability to perform his/her/their duties. The Second Vice President shall oversee the following committees/activities: a. Ways and Means b. Historian c. Youth Programs d. Newsletter e. Na Mea Hawaii In the absence or the inability of the Pelekikena and the Hope Pelekikena ʽEkahi to perform his duties, the Hope Pelekikena ʽElua shall act and shall have the same authority as the Pelekikena. Section 4. PUʽUKŪ. A. The Puʽukū shall receive and handle funds paid to this corporation; providing a receipt thereof, and shall deposit such funds in a bank, banks depositories as are approved by the Board of Directors. B. The Puʽukū shall prepare in writing and deliver an accounting of all organization funds as each general membership meeting. C. The Puʽukū accounts and books shall be open to inspection of the the Pelekikena , and any other auditor named by the Board of Directors. D. All checks or drafts on the organization’s account must be signed by two signature’s (i.e. Puʽukū, Pelekikena and/or Hope Pelekikena ‘Ekahi). E. Execute and file a bond in an amount determined by the Board of Directors. The premium of the bond shall be secured by the Civic Club. Deliver to his/her duly qualified successor all monies and other property in his/her possession or control, taking receipt thereof within fourteen (14) days after leaving office. F. The Puʽukū will comply with any federal or state law regarding the filing of appropriate reports. Section 5. KAKAU ʽOLELO HOʽOPAʽA. A. The Kakau ʽOlelo Hoʽopaʽa will take notes of the proceedings at board, general and special sessions, keeping a full account of minutes (motions, voting, attendance, discussion, etc.) B. Other duties shall be to collect and maintain all membership records, books, and artifacts belonging to the organization. C. The Kakau ʽOlelo Hoʽopaʽa will present a written account of the previous meeting to the general membership for review and approval. D. Deliver to his/her duly qualified successor all property belonging to the organization in his/her possession or control, taking receipt thereof within fourteen (14) days after leaving office. Section 6. KAKAU ʽOLELO HOʽOHOLO PALAPALA. A. The Kakau ʽOlelo Hoʽoholo Palapala shall maintain all communications and documents. B. Issue all notices and bulletins concerning the administrative functions of the Civic Club, such as records of membership, books, documents and communications pertaining to operations. C. Procure and maintain corporation stationary and supplies. D. The Kakau ʽOlelo Hoʽoholo Palapala shall prepare all correspondence and issue all notices and bulletins. E. Introduce prospective and new members. F. Deliver communications and documents to general membership, maintaining records for the same. G. Maintain a current roster of the full membership of the organization. ARTICLE VI - BOARD OF DIRECTORS Section 1. Board of Directors shall include the following: A. The elected Officers. B. The immediate Past Pelekikena. C. Three Board of Directors elected by the general membership to serve a two-year term. D. Two Board of Directors elected by the general membership to serve a one-year term. E. Members of the Board shall be elected biennially by a majority and secret vote of the general membership. F. Members of the Board may serve a maximum of two consecutive terms. Section 2. Past Pelekikena The immediate Past Pelekikena shall serve as a member of the Board of Directors with full rights, privileges, and powers accorded other members of the Board and shall assist in all matters and functions when requested by the current Pelekikena. ARTICLE VII – DUTIES OF THE BOARD OF DIRECTORS The Board of Directors shall exhibit leadership through mutual respect, honorable conduct and observance of the Association of Hawaiian Civic Clubs and Mainland Council’s Constitution and By-laws. Section 1. The initial Board of Directors shall be empowered by the general membership to carry out all responsibilities as necessary for the formation on the Club. Section 2. The Board of Directors shall have general supervisory responsibility of the business affairs and overall policies of this organization. Section 3. The Board of Directors shall make a decision by a quorum of seven (7) present at said meeting of those designated as members of the Board of Directors. A quorum shall represent 51% of the Board of Directors. Section 4. Meetings of the Board of Directors may be called by the Pelekikena or at the written request of two (2) members of the Board of Directors. (Upon first meeting, the Board of Directors will set a time for regular Board of Directors meetings i.e. monthly, quarterly and the general membership will be notified accordingly). Section 5. All Board of Directors meetings are open to attendance by the general membership. Meeting dates and times shall be announced to the general membership to afford open attendance Section 6. Disciplinary Action of Board Members A. Any member of the Club, who is in good standing, may bring disciplinary proceedings against any member of the Board of Directors for unethical, improper or criminal action. B. Upon receiving request for disciplinary action, the Board of Directors will convene a special meeting no later than ten (10) days from request to vote on whether to proceed. C. By a majority vote the Board of Directors will convene a Special Disciplinary Committee to investigate the allegations. The Special Disciplinary Committee will report its findings to the Board of Directors and make appropriate recommendations. D. Upon receipt of the Special Disciplinary Committee’s report the Board of Directors will hold a vote no later than ten (10) days after receiving said report. A 2/3 vote of the Board of Directors is required to discipline a Board Member, including but not limited to, verbal reprimand, suspension of duties, removal of office and prohibition of assuming duties, E. If the Board of Directors vote to discipline, the Board Member will have thirty (30) days to file an appeal at which time the process would go back to the Board of Directors, The Board of Director’s decision on the appeal by a 2/3 vote will be final. The appeal must be based on subject matter pertaining to the impeachable offense. Section 7. Special Disciplinary Committee A. The Board of Directors will hold a special meeting upon receipt of allegations of wrong doing, By a majority vote the Board of Directors will appoint a committee comprised of three (3) members in good standing. B. The Special Disciplinary Committee will report it’s findings to the Board of Directors no later than thirty (30) days after being formed, unless other wise directed by the Board of Directors. (Refer Art. 6, Sec. 6 A- E. Process of handling allegation made against member of Board of Directors.) Section 8. Representatives to the Mainland Council. Civic Club representation at the Mainland Council shall consist of the Pelekikena and two (2) elected Directors by the general membership majority vote. These two (2) Directors may be officers or members of the Board of Directors. These three (3) members shall represent the Civic Club at Mainland Council meetings. ARTICLE VIII - DUTIES OF THE EXECUTIVE COMMITTEE Section 1. The Executive Committee shall comprise of the Pelekikena, Hope Pelekikena ʽEkahi and Hope Pelekikena ʽElua. The Executive Committee shall be responsible for the day-to-day administration of the organization business under the authority afforded them by the Board of Directors. Section 2. The duties of the Executive Committee shall include the following: To keep members of the Board of Directors continually advised on all matters affecting the organization. To develop plans for projects aimed at furthering the purposes and objectives of the organization. To appoint task forces or ad hoc committees to study matters of concern to the organization and/or implement projects approved by the Board of Directors. Meet with various standing committees to evaluate progress being made in committee activities and to determine additional assistance that may be required. To prepare the agenda and determine the time and place for Board of Directors meetings. To be responsible for conducting all necessary business of the organization in the interim between Board of Directors meetings. ARTICLE IX – COMMITTEES The Pelekikena shall appoint the chairperson for committees, as determined by the Board of Directors, necessary to carry out the work of the club, for example, Membership, Aloha, Ways and Means (Finance), etc. The Chairpersons will be appointed by the Pelekikena and serve for a term specified by the Pelekikena. Section 1. Committees of the Hope Pelekikena ‘Ekahi The Hope Pelekikena ‘Ekahi, with the approval of the Board of Directors, shall appoint a chairperson for the following standing committees whose functions are indicated below. A. Constitution and By-laws a. Ensure the Articles of Incorporation are in current order, the organization Constitution and By-laws are kept up-to-date and members are furnished with a copy of same, including amendments and additions there to. b. Investigate proposed changes in the Constitution and By-laws of the Association of Hawaiian Civic Clubs and the Mainland Council. c. Report to the Board of Directors and membership, any recommendations for change if appropriate. d. Shall calendar one (1) general membership meeting annually to familiarize each member of the Civic Club with its Constitution and By-laws. B. Charitable and Educational a. Establish guidelines, requirements and procedures for giving of charitable donations and scholarship awards. b. Responsible for the screening, investigation of scholarship applications in accordance with approved policy and procedures for same. c. All donations and scholarship awards shall be approved by the Board of Directors and majority of the membership, respectively. d. The monetary dollar is be within the approved budget appropriation forecast. C. Membership a. Shall review all membership applications, recommend approval or rejection to the Board of Directors of any application for membership, notify applicants of acceptance or rejection. b. Keep an accurate current membership list. c. Shall promote ways and means to increase the membership. d. Shall receive all checks for dues upon acceptance of new applicants, and collect all dues for renewing members each calendar year. D. Budget and Finance a. Shall determine the fiscal situation of the Civic Club and to determine accurately as possible the revenue that can be anticipated for the following year. b. Shall set up a tentative budget for the expenditures of the Club and shall assist and work with the Pu’uku in fiscal matters and finally, oversee and audit the account of the Club. Section 2. Committees of the Hope Pelekikena ‘Elua The Hope Pelekikena ‘Elua, with the approval of the Board of Directors shall appoint a chairperson for the following standing committees: A. Ways and Means a. Formulate suggestions, proposals and plans for raising funds to help applicable committees to properly finance their projects in advance, such as bingo, dances, dinner concerts, food sales, raffles, etc. b. Coordinate with the Budget and Finance Committee to properly finance the projects. B. Historian This Committee shall keep a complete and accurate history of the Civic Club’s activities and accomplishments. A. Na Mea Hawai’i (Things Hawaiian) Appointee shall be responsible for the arranging and scheduling of programs (i.e. Hawaiian language, arts, crafts, guest speakers, etc.,) and other educational workshops currently suited to the purpose of this Club. B. Newsletter This committee will publish a newsletter on a regular basis, to inform the membership of items of interest, activities and events. C. Youth programs This committee will develop and implement cultural and educational activities encouraging youth involvement. Section 3. From time to time, the Pelekikena shall appoint with the approval of the Board of Directors, other committees as necessary. ARTICLE X – FISCAL POLICIES Section 1. Funds Operating funds shall be derived only from membership contributions or donations. Nothing contained herein shall prohibit the organization from carrying on any lawful business enterprise or transaction, the revenue from which shall be used to carry out the ideals, purposes and charitable pursuits of the Civic Club. Section 2. Fiscal Year The fiscal year of the Civic Club is January 1st to December 31st of each calendar year. Financial records shall be subject to fiscal audit at the close of each fiscal year by a three (3) member panel appointed by the Board of Directors; and during the change of the Executive Committee following an election, by a professional auditor to be completed prior to the new Executive Officers’ installation. Section 3. Salaries. No officer of this Civic Club shall receive any salary or compensation unless recommended by the Board of Directors and approved by majority vote of the general membership present. In the event in an incident of unauthorized use or misappropriation of Civic Club funds by any Officer and/or member of the Civic Club is alleged, an internal fact-finding ad hoc committee shall be appointed to investigate such allegations, and to recommend appropriate disciplinary action or referral to legal authority within forty-five (45) calendar days of such appointment. Section 4. Convention Expenses. The Pelekikena shall receive compensation for expenses for transportation and lodging when attending the annual Association of Hawaiian Civic Clubs convention. Compensation for such lodging shall not exceed four (4) days. Compensation for expenses for delegates in attendance at this Convention shall be voted upon by the Board of Directors and approved by the general membership present. Section 5. Mainland Expenses. The Pelekikena and two (2) Directors shall receive compensation for expenses for transportation and lodging when attending Mainland Council meetings other than at the Association of Hawaiian Civic Clubs annual convention. These expenses are subject to the approval of the Board of Directors and the general membership present. Section 6. Budget Committee. The following Officers shall act as the Budget Committee: a. Pelekikena b. Hope Pelekikena ‘Ekahi c. Hope Pelekikena ‘Elua d. Kakau ‘Olelo Ho’opa’a e. Puʽukū The Puʽukū shall furnish the list of anticipated income and proposed expenditures for each coming fiscal year. This committee shall propose and the general membership shall approve a budget for the next fiscal year, and no expenditures shall be made in excess of any item ser forth in said budget without the consent of the Board of Directors and the approval of the general membership. Section 7. Per Capita Fees. A per capita fee shall be paid annually to the Association of Hawaiian Civic Clubs and the Mainland Council for each member of the Civic Club. ARTICLE XI – DUTIES OF CHARTERED CLUBS The duties of this chartered Hawaiian Civic Club shall include: A. To support the purpose, goals and objectives of the respective district councils. B. To meet regularly at least every three (3) months and encourage the membership at each meeting. C. To submit reports to the Board of Directors of the Association and Mainland Council as follows: a. A club roster of members and officers sixty (60) days prior to the convening of the next annual convention together with the per capita dues. b. A list of delegates and alternatives to the annual convention, together with the registration fee, thirty (30) days prior to the convening of the annual convention. c. An annual report of club accomplishments. d. Any other report as may be required by either the Association Board of Directors or Mainland Council. D. To elect officers and to see that said officers assume their respective duties in accordance with the Constitution and By-laws of organization. E. To send to every annual convention at least one delegate. F. To forward to the Mainland Council a report of the organization’s intent to dissolve thirty (30) days prior to the anticipated day of dissolution ARTICLE XII – MEETINGS Section 1. Board of Director Meetings - ( Please refer to Article VI, Section 4) Section 2. General Membership Meetings – Regular meetings of the general membership shall be held quarterly or at such times as the Board of Directors may decide. Section 3. Special Meetings – Special meetings of the Board of Directors and General Membership shall be subject to the call of the Pelekikena. ARTICLE XIII - RULES OF ORDER, QUORUM, ORDER OF BUSINESS Section 1. Rules of Order – The rules of order contained in the latest edition of the publication, “Robert’s Rules of Order”, shall govern the deliberations of this organization in all cases to which they are applicable and in which they do not conflict with the By-laws of the organization. The provisions of the Constitution and By-laws of this organization take precedence over Robert’s Rules of Order when there is a conflict. Section 2. Quorum – A majority of the members of the Board of Directors shall constitute a quorum for any Board of Directors meeting. A quorum for general membership meeting shall be at least eight (8) members in good standing. Section 3. Poʽe Haole – There is life in labor. CLUB SONG / CHANT Mele / ‘Oli – Alu Like Composed by Haunani Apoliona, 1979. CLUB FLOWER Pua – Ka pua loke lena o Teseta (Yellow rose of Texas) CLUB COLORS Waihoʽoluʽu – Lenalena (Yellow) a me ʽUlaʽUla Yellow was the color of Kamehameha’s cloak. The reason he wanted yellow more than red was because the oʽo bird had only two feathers. One under each wing. It took thousands of birds to make Kamehameha’s cloak. That’s why the value of his cloak outweighs all the others. Red, a sacred color associated with royalty. CLUB INOA Kai ʽUla Ponoʽi Texas Hawaiian Civic Club – This Hui is named old Hawaiian way. The giver gave the meaning. The name has kaona (hidden meaning). kai – sea, sea water ʽula – red, sacred, regal, royal ponoʽi – self, own; private, personal; directly, exactly. ʽO wau ponoʽi, I, myself. Kona ponoʽi, his own. Hawaiʽi ponoʽi, Hawaiis own [own people]. Red, ʽula’ula in the mother tongue of Hawaiʽi, and the color of fire. It is the color that represents the “lifeblood” of the earth and of our people. It was also regarded as the unmistakable evidence of royal rank. ʽUlaʽula is the color of the ʽAlalaua, the young of the ‘Aweoweo fish. It is said that at the passing of Kamehameha I, Kamakahonu swelled with the red fish. The same was true when King David Kalākaua passed. The red fish came again when Queen Liliʽuokalani passed. The sea became “red” with the abundance of fish. It is said that all the bays of the Hawaiian archipelago were visited by this powerful red flow from the sea. In those earlier days in Hawaiʽi, it was believed that the coming of the red fish portended the death of an aliʽi. It was always recognized as an omen of great significance and a time of great change. “When the people of Kona and of neighboring places heard of the death of the chief the voice of weeping and wailing arose and the sound of lamentation and general mourning, recalling their regret and reciting their love for their chief. It would be impossible to describe all their ways of expressing love and sorrow, even to wishing to die with him. No nation on earth could have shown more grief and affection, and these manifestations of regret lasted many days.” Death of Kamehameha, Ruling Chief of Hawaiʽi, Kamakau KAI ʽULA is a circle of ʽOiwi and non-kanaka joining together as one, to uphold the fire, the sacredness and the sovereignty of Hawaiʽi. We will imua together in strength and unity. The name Kai ʽUla Ponoʽ Texas Hawaiian Civic Club represents/means/is: The red ʽalalaua swimming in a large school, (the circle of ʽoiwi and non kanaka together as one) representing the coming of great significance and great change. We will imua (move forward) together in strength and unity, loyal to Hawaiʽi nei, the sons and daughters of Texas. (With pule, sharing of manaʽo and moʽolelo, Mikahala Roy & Pelekikena Melissa thus named this Hui.) ARTICLE XV – AMENDMENTS TO THE BY-LAWS The By-laws of this organization may be amended by a vote by the majority of the members present at any General Membership meeting. All anticipated amendments shall be circulated to members at least thirty (30) days prior to the next meeting at which time these intended amendments will be the order of business. All we needed was a song, which Haunani Apoliona created. These were the seeds that unified our people, that brought us the Merrie Monarch Festival, The Association of Hawaiian Civic Clubs, the Sons of Hawaiʽi, the Cazimeros, Brother Iz, the Makaha Sons, the Peter Moon Band. Pūnana Leo immersion schools were born; the Hawaiian language community was born. It was great to be Hawaiian! This is one of the songs that seeded the Hawaiian Renaissance. Many of the songs (mele) created and sung here were chosen because of their ability to transform from seed to harvest one’s ‘uhane (spirit), kino (body), and mana‘o (thought and values), and one’s sense of place. May we all continue to hō‘ano‘ano, or plant many seeds within our lives to strengthen our ‘uhane, kino, and mana‘o, and those of the next generations.
