Best regards, Sonita CONSTITUTION OF THE CAMBODIAN ORTHODONTIC SOCIETY DEFINITIONS In the following Constitution unless the context otherwise requires: “The Society” means the Cambodian Orthodontic Society, “The Committee” means the Committee of the Society which is elected by members of the Society to conduct the business of the Society in accordance with the policies decided by the members in accordance with the Constitution. TITLE The Society will be called the “Cambodian Orthodontic Society” 1. The Society will have a defined field of interest, which is Orthodontic Practice and Treatment carried out by specialist dental practitioners and also general dental practitioners with an interest in the provision of orthodontic treatment. 2. The Society will conduct all correspondence by mail email or other electronic transmission under the full title as the Cambodian Orthodontic Society. All correspondence will be copied to the Chairman and Secretary of the Society. 3. All matters concerning negotiation with National bodies will be referred to the Committee of the Society OBJECTIVES OF THE SOCIETY The objectives of the society shall be: 1. To uphold the objectives of the Cambodian Orthodontic Society 2. To represent the interests of its members 3. To convene meetings 4. To issue information to members 5. To provide professional development and training for members 6. To publish material on the practice of orthodontics 7. To compile and maintain a list of members MEMBERSHIP 1. Any dental graduate with an additional qualification in orthodontics 2. Any dental graduate with an interest in orthodontics 3. A member who ceases orthodontic practice, other than on retirement, shall be ineligible to renew his or her full membership of the Society 4. Honorary Life Membership shall be granted at the discretion of the Committee 5. Election and Retention of membership shall be by resolution of the Committee but subject to the final decision of the Committee of the Society 6. Retired membership of the Society, if requested can be given to any member who is retired from practice. 7. The Committee shall have the power to vary these requirements in exceptional circumstances. FINANCE 1. A subscription shall be payable by each member on joining the society and thereafter annually to the Treasurer of the Cambodian Orthodontic Society at a date determined by the Council of the Society: the amount to be decided by the members of the Society at the Annual General Meeting 2. The Society is free to generate income by organizing meetings and congresses. Any income remaining at the end of the financial year will be transferred to readily accessible deposits with a bank. OFFICERS The Officers of the Society shall be: 1. The Chairman shall be elected by a ballot of members at the Annual General Meeting. The term will be for one year but renewable for a further 2 years if the membership ballot supports this 2. The Honorary Secretary shall be elected by a ballot of members at the Annual General Meeting for a term of one year but renewable for a further 2 year if the membership ballot supports this 3. The Honorary Treasurer shall be elected on the same basis as the Chairman and Secretary 4. The Honorary Meetings Secretary shall be elected on the same basis as the Chairman and Secretary 5. The terms of office may be varied at the discretion of the Committee THE COMMITTEE 1. The Committee will comprise 2. Officers of the Society 3. The affairs of the Society shall be conducted in the interests of and for the benefit of the members, which shall be empowered to act for the Society in all matters, subject to any policy direction or decision by the members at a General Meeting 4. The Honorary Secretary upon written request of 3 members shall convene a meeting of the committee 5. The President shall have a casting vote in the event of a tied decision 6. The president shall be capable and eligible in orthodontic in order to share knowledge as well as to organize Journal club for member. Moreover, the president should have good orthodontic skill to make the society stronger and well-known. 7. The affair of the society shall be conduct one conference and two seminars annually. GENERAL MEETINGS OF THE SOCIETY 1. The Committee shall have the power to convene General Meetings of the Society 2. No business shall be transacted unless a quorum is present. Six members of the Society present in person shall be a quorum 3. The Constitution may be altered or rescinded by resolution of the Society at an Annual General Meeting provided this is supported by at least half pf the enrolled membership ANNUAL GENERAL MEETING 1. The Committee shall convene an Annual General Meeting of the Society 2. No more than 15 months shall elapse between Annual General Meetings 3. The proceedings of the Annual General Meetings shall include 4. A report by the Committee and an audited statement of accounts CASTING VOTE 1. Where the voting on any matter at a General Meeting of the Society results in a tie, the Chairman shall have the casting vote 2.
