Dear Members / CS aspirants, It’s high time for the profession, as we all are already aware that as per the notified rules of the Ministry of Corporate Affairs the provision of appointment of Company Secretary under the KMP has been changed and enhanced to higher limits and it is mandatory for those only companies having a paid up capital of Rs. 10 crore or more, the same is not applicable on Private Companies outrightly. Thus there are increased chances of unemployment of CS Professionals. The Compliance provision available under the previous Companies Act, 1956 for Company secretary in practice has been curtailed as well in new Companies Act, 2013. The role of PCS w.r.t. certification of Annual Return and Secretarial Audit has been curtailed as the limits have been increased as against the draft rules.
