Kind regards Stan DEED OF ADHERENCE Background : SuperSport has an existing relationship with the Ugandan Super League Limited ( USLL ). The parties are desirous of including the Football Federation of Uganda ( FUFA ) and the Member Clubs of the Elite Professional League in Uganda into a jointly run League in accordance with the MOU signed between the parties. Such MOU will facilitate the re-commencement of live broadcast of matches of the newly formed League ( which shall be known as the Ugandan Premier League ) as per the provisions of the MOU signed between USLL and FUFA and on terms and conditions acceptable to SuperSport as the Broadcast Partner. USLL , FUFA and member clubs will be required to meet certain requirements and obligations with regards their contractual obligations and in particular their obligations towards the Broadcast Rights, Title Rights partners and Sponsors of the League. These requirements are included in this Deed of Adherence and any failure to honour same will result in financial penalties and sanctions against the League , which sanctions will in turn be passed on to offending Clubs and affect the monthly grant available to Clubs participating in the Ugandan Premier League. The Broadcast Compliance Manual of SuperSport is a self-standing manual which sets out the minimum standards and requirements expected of all Clubs participating in the Ugandan Premier League and all participating Clubs must comply with this manual as of 1 July 2015. The Broadcast Compliance Manual forms a material part of the contract between SuperSport and USLL and/or its assigned partners and is attached as an Annexure to the primary agreement between SuperSport and the League. The Broadcast Manual may be amended and updated from time to time by the start of each season without detracting from the validity and compliance requirements contained therein. In the interim , the attached Deed of Adherence will form the minimum basis for compliance by Clubs of their Broadcast , Sponsor and Supplier obligations as packaged by the USLL and FUFA for the Ugandan Premier League, herein after referred to as the League. Objectives : 1. To ensure The League meets the expectations of its partners, in particular the Broadcast rights partner and Title Rights partner. 2. To protect sponsor interests and ensure sponsor mileage. 3. To provide a world class television product which reflects positively on Ugandan Football. 1. MATCH DAY OBLIGATIONS - LIVE and DELAYED LIVE TELEVISED MATCHES All teams playing in televised matches are obliged to: 1.1 To arrive at the match venue at least 1.5 hours before the scheduled kick off time. 1.2 To deliver to SuperSports Floor Manager a hard copy of the Team List at least 1 hour before the start of the match. 1.3 All Playing Jersey numbers must correspond with those on the Team List and all names on the team list must be spelled correctly , preferably printed alternatively clearly and neatly written. 1.4 Team Lists must include the colour of shirts, shorts and socks. 1.5 To be prepared to enter the field of play at 15 minutes before kick-off 1.6 To line up in front of the main stand where the home team stands on the right and the away team stands on the left while facing the main stand. Closest to the halfway line should be the captain followed by the players as written down on the team sheet. Match Officials in the middle. Having been introduced to the crowd the team on the left remains still while the home team walks down the line shaking hands with the away team. Having shaken hands, teams should line up for a team photograph. 1.7. Kit and Technical requirements In order for the television product to look attractive and professional, as well as for the image of the League , the following must be in place regarding the kit and technical requirements : - Player jerseys must be clearly numbered with appropriate size numbering so as to enable the commentators to clearly see the players jersey number. -Substitute players in the technical area are to be dressed in uniformity and in club colours. -Club Coaches to be in suits or track suit or casual wear of club colours and club sponsors. -Kit specifications, logos, fonts, sizes of numbering and letters are to conform to the Leagues specific guidelines in this regard. The following guidelines should be observed: Right sleeve – competition / title sponsor badge Left sleeve – League logo Left Chest – Club logo Right/ centre – Kit manufacturer logo Midriff – Club sponsor (maximum of one) Centre midriff – Cup competition sponsor , where appropriate (subject to sponsorship negotiation) Back of jersey - player number (maximum of 2 digits; uniform font and size) Back of jersey -surname of player (uniform font and size) - optional in year 1 Shorts -player numbers, club logo, competition sponsor Socks - Club name and/or player number and/or kit manufacturer 1.8 Media Match day TV requirements In order to ensure a smooth and seamless transition from pre-match build up to live match transmission, a number of communication processes need to be completed on match day. These form part of the match day countdown and include: A pre-match meeting to take place 3 hours before kick off to be attended by: -Representative/s from both teams -League Representative/s -League Security advisor -Other security being utilized -Police and other relevant emergency services -Broadcaster representative/s -Stadium Manager and/or grounds man -Match Commissioner and/or designated officials It is noted that a designated League representative is to be present at all live match day venues from the pre-match meeting to the conclusion of the post-match formalities. Submission of team sheets by both teams -to be provided 60 minutes before kick off -to be legibly typed up or printed, not hand written -to ensure correct spelling of players names -to ensure correct numbering of players jerseys which correspond to the names No other television broadcaster (whether pay television, free to air or of any other variety) shall be afforded access to the stadium without the prior written permission of SuperSport. This provision shall specifically also apply to non-live games. Post-match interviews To be zoned exclusively to the host broadcaster whether on-field or other designated area. Only once the television broadcaster has concluded their activities may players, coaches and other officials be accessible to other forms of media such as radio and print. To be conducted in front of pre-approved branded signage which includes the broadcasters logo, the Leagues logo and the competition sponsor logo. Mixed zone Notwithstanding the nature of the mixed zone (where all media forms including radio, print and electronic have access to players and officials), television shall at all times be prioritized. No branding other than that of the League, Competition sponsor and Broadcaster shall be permitted in the mixed zone without the prior written approval of the Broadcaster and/ or Title Rights sponsor. Match day branding No other television broadcaster or media entity is entitled to any branding whatsoever at the match day venue without the prior and express written approval of Supersport. All players, coaches , managers, assistant managers and captains must be available for exclusive interviews with SuperSport immediately after the game and before any other interviews are given to any other media entity including print media and radio . The dress code should be smart for the above mentioned. All interviews must take place in front of the approved Interview Boards which will clearly display the logos of the League , the Broadcast Partner and the Title Sponsor. Any other sponsor or partner logo must be approved by the League and Broadcast Partner and Title Rights sponsor. 1.9. After SuperSport has conducted its exclusive interviews, players and officials may proceed to a mixed zone for further interviews with the print, radio and electronic media. 1.10 An identified Broadcast Compound must be provided at each approved stadium where SuperSport can set up its Broadcast trucks and transmission base for each live game. Such compound must be separate and secure from the general public and access thereto must be strictly controlled by the League. 1.11. All Live Matches will take place at Namboole or other venue of the standard required and approved in writing by SuperSport. 1.12 Fixtures : SuperSport will choose which matches will be broadcast live after being provided with a fixture list by the a League by no later than 18 July of each season. The fixture list as provided to SuperSport may not be amended without the written approval of SuperSport. Once a draft fixture schedule has been drawn up it will be submitted to the Broadcaster for signed approval. Thereafter, the TV Broadcaster will be afforded time and opportunity to select which matches it wants for live broadcast. The Broadcast partner must also stipulate when it wants matches including kick off times. The Broadcast partner shall specify to the league when it intends to hold double-header fixtures and the League shall duly assist in this process. The rights of the Broadcast Rights holder are primary and of the highest priority. Any other stakeholder rights, including but not limited to secondary broadcasters, free-to-air broadcasters, radio, print and electronic media - shall at all times be secondary and subject to the express written approval of the Broadcast Rights Holder. In drawing up the fixture list, the League must ensure that all official FIFA, CAF and CECAFA match dates have been factored into the schedule. SuperSport recognizes the official FIFA calendar and fixture changes outside of official FIFA weeks or officially sanctioned tournaments will not be accepted. There shall be NO disruptions to the published fixture list that has been signed off by the Broadcaster and specifically NO Tournaments scheduled in-season, outside of FIFA/ CAF/ CECAFA weeks which would cause a disruption to the League program and the Broadcasters program scheduling. There shall be NO fixture changes without consulting host broadcaster for impact on TV schedules. League fixture adjustments which fall outside of official FIFA weeks, including those of Junior National teams, may result in the imposition of financial penalties which will impact the revenues of the League and its member clubs. The League will inform its member clubs of the live tv match schedule. Any changes in fixtures selected by SuperSport for live transmission will result in a financial sanction against the League. The League reserves the right to pass on any financial penalty to the offending Club in addition to any other sanction that may be imposed by the a League on the offending Club as per its Rules,regulations and Constitution. 1.13. The Clubs will be responsible for their own transport to matches and for any accommodation , meals or other logistics that might be required. 1.14. The home team may take part in a training session at the match ground the day before the match at 14h30 and then take part in a press conference at 15h45. The away team must take part in a training session at the same ground at 16h00 with a press conference at 17h15. The Manager , Coach and Captain of the team must be available for interview after training. If the match stadium is not available for use, the League will advise the teams of an alternative training and interview venue in advance. 1.15 The League is responsible for: - The hire of the Stadium - Contracting other entertainers, stages, announcers and PA systems - The production of any match day programme ( in conjunction with the home team ) - Erection of pitch perimeter branding and interview backdrops ( on field and mixed zone ) - The provision of good broadcast platforms and commentary positions for staff - The provision of a safe secure Broadcast Compound - Timeous access to live match venues at least 10 hours before kick off - Provision of Security for all stakeholders including players , fans and spectators , team and match officials , media , sponsors , partners , suppliers and other service providers. - Provision of all emergency services including but not limited to traffic officers , police , fire services , ambulance and medical services , electrician , crowd marshalls - A quality playing surface and surround elements appropriate for live broadcast including but not limited to clearly marked field including safe secure goals posts , correctly tied nets , corner flags , technical team benches and substitution boards. 1.16. Clubs will be responsible for the printing and supply of an adequate amount of tickets for the Leagues Broadcast and Title Rights partners, the numbers for which will be agreed by The League and the home Club at least ten days in advance. 1.17. Safety and Security is of the highest priority and the League will provide written and confirmed security arrangements a minimum of 3 days in advance of a televised match. 1.18. The League will provide a Pitch Map which clearly lays out the Pitch Perimeter advertisers for all live matches and indicates the number and exact positioning of Boards allocated to : - The home team - The away team - Broadcast Partner ( SuperSport ) - 6 boards - Title Rights Sponsor - The League - Other sponsors, partners and suppliers Perimeter boards must be 6m in length and 1m in height and must be printed to the highest quality. The size of all perimeter boards must be the same. All perimeter boards must be in place at least one hour before kick off. Perimeter board placements should comply with Leagues policy of official sponsors and partners only as per the pre-approved field signage map. No 2nd tier signage or ambush marketing tactics to be tolerated. 1.19. From time to time the Title Sponsor of the League or an Official Partner of the League may wish to promote themselves at a match and will be allowed to do so as long as their promotion does not restrict the spectators vision or enjoyment of the game. 1.20. If a Club produces a match programme, League partners have the rights to a page of advertising and for their logo to appear at prime positions for avoidance of doubt the Title Sponsor and Broadcast Partner will be prominently displayed on the Front/back page of such program. 1.21. It is specifically recorded that the League is expected to have the necessary levels of public liability cover for all matches. 2. SPONSOR RIGHTS As part of their benefit package, Official Sponsors and Partners of the League will have certain rights that involve matches and Clubs. 2.1 There are 2 Main Sponsor levels to the League: a) Title Sponsor - naming rights of the League and associated benefits. b) Official Partners such as Supersport All Clubs will be obliged to offer Main Sponsors as per above the following: 2.1.1 100 Complimentary tickets for each home matches. A Sponsor will have to request the tickets from The League at least 2 weeks before the match and USL will be responsible for delivering the tickets to the Sponsor 2.1.2 1 Team Appearance per season. A Sponsor will request this through The League and The League will approach the Club on behalf of the Sponsor. The Sponsor will be responsible for all costs related to the Appearance such as transport, accommodation, food and beverages. The Sponsor will not pay any appearance fee. 2.1.3 Signed Team Photograph. Main Sponsors may arrange an Official Team Photograph that will be paid for by the Sponsor. Each team members will be obliged to sign the photograph and understands that they may be required to sign a series of photographs during the season. It is understood that the Sponsor will not sell the photograph but they will be able to give them away, including giving them away as prizes and promotions. 2.1.4 Main Sponsors have the rights to buy Clubs shirts and have them signed by all members of the Club. Each team members will be obliged to sign the shirts and understands that he may be required to sign a number of shirts during the season. It is understood that the Sponsor will not sell the shirts but they will be able to give them away, including giving them away as prizes. 2.1.5 Main Sponsors have category exclusivity. This means that once a Title or Official Partner is appointed, a Club is not allowed to appoint as a Club sponsor or promote at the Clubs matches or to the Clubs membership or spectators a competitive organisation or product within the first year of signing of the contract. For example, if MTN is appointed as an Official Partner, a Club may not then accept Warid as a Club sponsor. However, if Warid is already a sponsor of the Club when MTN is appointed, then Warid has the right to remain as a sponsor of the Club. 2.2 Other Sub Sponsors of the League The League may from time to time contract with other sponsors and/or partners and /or suppliers in a category called Official Supplier. This may include drinking water, soft drinks, and insurance or transport suppliers. The rights of Official Supplier will be discussed by the League with its Member a Clubs on a supplier by supplier basis or deal by deal basis. 3. RIGHTS 3.1. League partners have the right to use the marks and logos of the League and its Member Clubs to exploit their Media rights to the League. This includes promoting matches in which Clubs are playing. 3.2 League partners have the rights to use the images of players in the League for the exploitation of their Media rights. This specifically includes using the image of a player to promote a match. 3.3 The League , as well as all Member Clubs , must provide the Broadcast and Title rights sponsor with high resolution images ( JPEG format ) of their logos and emblems for utility in the Broadcast , Marketing , Media and Promotions forums. We understand and accept that non-adherence to the above will lead to financial penalties and/or other sanctions imposed by the League and will affect the receipt of monthly grants from the League and the amount of coverage and exposure our team receives by way of live matches, magazine programs and other promotional platforms as provided for by the a league and its Broadcast Partner and Title Rights sponsor.
