Gazelle Finance Job Title: Chief Investment Officer Location: Bishkek Summary of the Position: Gazelle Finance (GF) is launching a $25M private equity fund that is targeting established, high growth SMEs in Georgia, Armenia, Moldova, and Kyrgyzstan to provide expansion capital. Employing an innovative royalty-based lending model that includes debt and equity instruments, the fund seeks to generate a competitive commercial return on investment to investors, while concurrently targeting economic development objectives. GF is establishing offices in each of the countries and is seeking a core group of investment and finance professionals who will spearhead the build-out of operations, develop an investable pipeline, and execute transactions. The Chief Investment Officer (CIO) will be responsible for establishing and managing the local office; implementing the fund’s management information, IT and administrative systems; originating an investable pipeline; executing investments; managing a portfolio of investments; maximizing returns to fund investors and achieving fund development objectives. Working closely with the CEO, the CIO will actively participate in strategy development, fundraising activities, and operations management. The role requires a finance and banking background, strong analytical, deal analysis, financial modeling and process management skills, as well as a proven track record in deal origination, investment structuring, and investment portfolio management. This position reports to the CEO. Principal Duties and Areas of Responsibility: • Establish a local office that can scale-up upon financial closing of the fund; • Work with outside counsel and tax / accounting advisors to evaluate and recommend most appropriate legal and tax efficient structure for a foreign invested fund; • Implement the fund’s administrative, IT, management information, and performance managements systems; • Conduct market, sector, value and supply chain analysis to be used to support fund strategy; • Originate an investable pipeline of transactions; • Prepare investment memorandums, financial models, and supporting documentation to be presented to the fund’s Investment Committee; • Negotiate equity, debt, and royalty fee investments structures with investee companies and execute transaction documents; • Structure technical assistance package for investee companies as part of value add investment strategy; • Disburse funds to investee companies; • Monitor and track financial performance of investee companies to ensure loans and royalty fee payments are current; • Implement financial reporting systems, and monitor and measure financial and development performance objectives of investees; • Perfect security and collateralize loans, and oversee legal action to collect and repossess collateral in instances of default; • Prepare and deliver reports on financial performance and development objectives to the fund’s board and investors • Secure an exit of the fund’s equity position from the investee companies • Manage the portfolio of investments with the objective to maximize returns to investors and achieve the fund’s development objectives • Participate in the evaluation and investment decision making processes in the fund’s other countries of operations; • Provide assistance to the CEO in fundraising activities. Desired Profile: • Minimum of 5 years’ professional finance and banking experience, preferably in at least one of the following disciplines: commercial banking, private equity, corporate finance, M&A or project finance. • Native Kyrgyz speaker, fluent in English and Russian with strong written financial English skills. • MBA preferred. • Demonstrated track record of identifying, evaluating, and closing transactions and managing multiple projects. • Proven fluency with legal documents such as contracts, agreements, term sheets, etc. • Extensive experience with financial modeling, conducting due diligence processes, and deal negotiations/structuring. • Proven ability to work in a dynamic, fast-paced, high-growth environment where everyone is expected to balance multiple roles and commitments. • Entrepreneurial team player, willing and able to work long hours and contribute in multiple ways in a growth environment. • Willingness to travel extensively in the region.
