JOB POSTING: See Below EOE M/F/D/V Job Description: Contracts and Compliance Manager Division: Legal, Export Compliance FLSA Classification: Exempt Reports to: President Primary Purposes: Support company legal requirements; such as corporate matters, contract administration, maintenance of legal documents and coordination with outside counsel. Provide export and import support to business units ensuring company compliance with all import/export rules. Perform Risk Management duties in the form of securing contractually required certificates of insurance, providing insurance policy interpretation, and handling insurance claims. Essential Functions: • Acts as legal and compliance interface for the rest of the company. • Drafts and prepares appropriate documents, license applications and proposed agreements for submission to the U.S. Department of State Directorate of Defense Trade Controls, U.S. Department of Commerce, or other governmental agencies. • Ensures company maintains strict compliance with U.S. export control laws and regulations, and other foreign regulations as applicable. • Ensures employees receive compliance training as required. • Provides contract review, interpretation, negotiation and guidance. • Provides legal guidance on a wide range of issues. • Assists in establishing and maintaining corporate authority for all affiliates. • Maintains corporate books and records. • Maintains export authorization records. • Assists in proper contract maintenance, closeout and record retention. • Provides support and guidance in the area of prudent business management. • Works closely with and in coordination with outside counsel and outside compliance consultants. • Reviews proposals, contracts and agreements, and business activities for legal and export compliance issues. • Performs other duties as assigned or required. Required Education/Experience: Bachelor’s degree or Three (3) years of experience in contracts and regulatory field. Three (3) years of directly related experience working with the ITAR or EAR or demonstrated expertise in regulatory field, or legal experience. Strong knowledge of regulatory compliance programs and governing regulations. Must have excellent communication (verbal/written) skills, and a solid working knowledge of the MS Office Suite. Military experience a plus. Working Conditions: May be required to work in various environments. Some travel may be required to support aviation operations wherever located.
