TAMMANY PARISH FIRE PROTECTION DISTRICT #4 MANDEVILLE, LOUISIANA BY-LAWS ARTICLE I TITLE Section 1. The name and title of this organization shall be FIRE PROTECTION DISTRICT #4, St. Tammany Parish, Louisiana. The geographical boundaries have been previously established in January 1958 by the St. Tammany Parish Police Jury, with the concurrence of the Mayor and the council of the City of Mandeville. The authority for the creation of this fire district is Louisiana Revised Statues of 1950, Title 40 Public Health and safety Chapter 7, Fire Prevention and Protection. ARTICLE II PURPOSE Section 1. 1.5 The purpose of this fire district is to provide for the prevention and extinguishing of fires, to organize and maintain a fire department within the boundaries as established by the enabling authorities. ARTICLE III BOARD OF COMMISSIONERS - GOVERNING BODY Section 1. The Board of Commissioners shall be composed of five (5) members, who comprise the governing body of the district. The Board of Commissioners shall also be the appointing authority as outlined in the Fire and Police Civil Service Laws of the State of Louisiana. The Board of Commissioners of St. Tammany Parish Fire Protection District No. 4 shall adhere to the following statue for guidance: Title 40, Chapter 7, Part 1., “Fire Protection Districts”. Section 2. The Chairman shall: 1. Be the chief executive officer of the Fire District with authority and responsibility to see that all orders and resolutions of Board are carried into effect. 2. In carrying out his duties the Chairman shall follow the enabling statue, these by-laws and if a procedure is not covered, abide by the latest edition of Roberts Rules of Order. The Vice-Chairman shall assume all duties of the Chairman when the Chairman is incapacitated or when the Chairman is not reasonably available to fulfill the duties of his position. ARTICLE IV GENERAL POWERS Section 1. Regular meetings of the Board of Commissioners shall be held monthly at such time and place as the Commissioners may determine. Special meeting of the Board may be called by the Chairman on three (3) days notice to each Commissioner, either personally or by mail or by telegram; special meetings shall be called by the Chairman or Secretary in like manner and on like notice on the written request of two (2) Commissioners. A majority of the Board, a quorum being required far all meetings of the Board. In the event of an emergency, a special meeting may be called by the Chairman, Vice-Chairman, or by any two (2) Board members upon the Secretarys giving a three (3) hour notice to the Board members of the nature of the emergency and a call for the special meeting. A quorum of three (3) members shall be required to conduct business at an emergency meeting. An emergency is defined as any sudden unusual, or unexpected event, whether natural or man-made where life or property are endangered, which requires a prompt resolution of the danger. Also, any matter that will be detrimental to the Fire District or its operation if immediate attention is not given. Section 2. At all meetings of the Board of Commissioners, the Chairman shall preside. All duties and powers vested in Commissioners are also vested to the Chairman who may exercise same at his prerogative. Section 3. Prior to each meeting the Chairman, or the Secretary under the Chairmans direction shall prepare an agenda for each meeting and post same forty eight (48) hours before the Board meeting. The Order of business at all meetings shall conform with the agenda, unless by an affirmative vote of a majority, the Commissioners agree to change or amend the posted agenda to allow a matter not listed on the agenda to be presented. Section 4. All meetings of the Board of Commissioners are to be public. All proceedings of the meetings are to conform with State law governing meetings of public bodies. Section 5. Regular work sessions of the Board of Commissioners shall be held monthly at such time and place as the commissioners may determine. There shall be no vote taken at work sessions. Section 6. There shall be no vote taken at monthly or special meetings on any matter until it has been properly presented and discussed at a preceding meeting or work session. Section 7. Exceptions may be made to Article IV, sections 5 and 6 regarding no votes may be taken if by an affirmative vote of a majority, the commissioners agree to declare a matter an emergency. ARTICLE V SPECIAL APPOINTMENTS Section 1. The Board of Commissioners may appoint a Vice-Chairman, who must be a member of the Board of Commissioners and his term shall run for 1 year. Section 2. The Board of Commissioners shall appoint a Fire Chief for an indefinite term of office after having successfully completed Civil Service guidelines. The Fire Chief shall have the authority and responsibility for day to day operations of the Fire District. The Fire Chief is to report directly to the Board of Commissioners. Between regular monthly Board meetings, the Fire Chief is to report to the Chairman. The Fire Chief may be removed for only having failed to follow Civil Service rules and regulations. The Fire Chief is to appoint officers as he deems necessary, except those appointed by the Board of Commissioners. Section 3. The Board of Commissioners shall appoint a Secretary/Treasurer for Fire District #4: who may be compensated for service subject to an affirmative vote of the majority of the Board. Appointment shall run for an indefinite term and shall be only removed for just cause. ARTICLE VI COMMITTEES Section 1. The Chairman may appoint such committees as he deems necessary, subject to the approval of the Board of Commissioners. Whenever the Board is not in session, the committees appointed by the Chairman may act, subject to ratification at the next meeting of the Board, at which time the appointments made by the Chairman, may be either approved or disapproved. Section 2. The Chairman of each appointed committee shall make a written report to the Board whenever requested by the Board. ARTICLE VII AMENDMENTS Section 1. These by-laws may be altered or amended or repealed by the affirmative vote of a majority of the Commissioners present at any regular or special meeting of the Board called for that purpose, or by the affirmative vote of a majority of the full Board of Commissioners at any regular or special meeting of the Board: provided, however, that no change of the time or place for the election of Officers shall be made within sixty (60) days preceding the day on which such election is to be held, and that in case of any change of such time or place notice thereto shall be given to each Commissioner in person, or by letter mailed to his last known post office address, at least (20) days before the election is held. Section 2. All presently existing memorandums, rules and regulations in conflict with these By-Laws are hereby superseded. C E R T I F I C A T E I, Emory S. Esquinance, Secretary of St. Tammany Parish Fire Protection District No. 4, certify the above and foregoing to be a true and correct copy of the Amended By-Laws adopted at the meeting of the Board of Commissioners of said District, duly and legally called convened and held in Mandeville, Louisiana on Monday, June 18, 1990, whereat a quorum of Commissioners were present.
