Notice is hereby given that the Twenty-Ninth Annual General meeting of the Medical Aid Society of Malawi will be held on Wednesday, 26th June 2013 at 14:30 hours at Ryalls Hotel, Blantyre to transact the following business. AGENDA a) To approve minutes of the Twenty Eighth Annual General meeting held on 25th May 2012 at Crossroads Hotel, Lilongwe. b) To receive and adopt the Chairman’s report for the year ended December 31st, 2012. c) To receive and adopt the Annual Consolidated Financial Statements and report of the Auditors for the year ended December 31st 2012. d) Election of office bearers. a) To elect a Director to represent the interests of Member Firms. Dr. E. Matabwa retires by rotation and being eligible has offered himself for re-election. b) To elect a Director to represent the interests of individual members. Mr. S. Nkata retires by rotation and being eligible has offered himself for re-election. c) Directors W.Chatsala and M. Katsala were co-opted onto the Board to fill vacancies due to resignations of directors J. Biziwick and W. Kaimvi representing member firms whose terms of office were due for retirement by rotation in July 2014 and July 2015 respectively. d) In accordance with the constitution, nomination papers for the above positions are available from the Secretariat. e) To review Directors fees for the ensuing year. a) Directors Fees Chairman K730,000 per annum (from K608,000) payable quarterly in arrears. Deputy Chairman K663,000 per annum (from K552,000) payable quarterly in arrears. Directors K584,000 (from K486,000) payable quarterly in arrears. b) Sitting Allowance Chairman K24,000 per sitting (from K20,000) Directors K20,000 per sitting (from K16,000) f) To appoint Auditors for the year ending 31st December 2013. g) To transact such other business as may properly be brought before the meeting.
