Regular Meeting - December 13, 1955 The Board of County Commissioners met in regular session on above date, with all members present. The meeting was opened with prayer by Rev. Glenn Lowery. On motion made by Whitfield, seconded by Shell and unanimously carried, the board voted to amend the General Fund budget as follows: 212 - Salary of Clerk, previously $2400.00 Transfer from contingencies 1500.00 $3900.00 Mr. Russell G. Patterson, engineer for the Santa Rosa County Island Authority asked the board to approve the following lease with the Santa Rosa Island Authority of Escambia County. LEASE AGREEMENT This lease agreement entered into by and between Santa Rosa Island Authority as an agency of Escambia County, Florida, as lessor, and Santa Rosa County, Florida, acting by and through its Board of County Commissioners, as lessee, WITNESSETH: (1) The lessor does hereby grant, demise and lease to the lessee, upon the terms and conditions hereinafter set forth, for a term of ninety-nine (99) years from the date hereof, the easternmost four miles of that portion of Santa Rosa Island subject to the jurisdiction of the lessor and owned by said Escambia County, at an annual rental of $100.00 payable each year in advance, receipt of the first years rental being hereby acknowledged, the property so leased being more particularly described as follows: Fractional Sections 28 to 33, inclusive in Township 2 South, Range 26 West; and Fractional Section 36 in Township 2 South, Range 27 West, containing in the aggregate 600 acres more or less. (2) The said portion of Santa Rosa Island is leased to said Santa Rosa County for development by an agency of that county also known as Santa Rosa Island Authority for purposes and along lines comparable to the island development of the lessor as an agency of Escambia County, Florida. Lessee or its said agency may grant leases with respect to all or any part of the demised property for residential, recreational and commercial purposes, provided the leases shall be substantially upon the same terms and conditions as like leases then in use by the lessor. Lessee may also subdivide all or any portions of the demised premises and dedicate streets, public ways, parks and other public areas and grant easements and rights-of-way and otherwise improve and develop the demised premises in the same manner and to the said extent as the lessor could do. (3) The demised portion of Santa Rosa Island shall always continue subject to the applicable covenants and restrictions imposed by the lessor by instrument dated February 10, 1949, recorded in Deed Book 294, page 303, of the public records of said Escambia County. The lessee covenants that it will abide by said restrictions and covenants and that any development of the leased portion of the island shall be on a basis comparable to that in the developed areas remaining under the ownership or jurisdiction of the lessor. (4) The lessee further covenants that rentals, commercial rates, fees, service charges, prices and the like will always be maintained and fixed on the demised portion of the island on a basis or rate substantially equal to those in effect in the developed portions of the island under the jurisdiction or ownership of the lessor. As a part of the consideration for this lease leases covenants and agrees that if and when it acquires the remaining portion of said island (being a strip approximately three miles long) extending from the demised premises in an easterly direction to a southerly projection of the present boundary line between Okaloosa and Santa Rosa Counties, it will impose the same covenants and restrictions upon said additional portion of the island as are recorded in Deed Book 294, page 303, of the public records of said Escambia County, and that all of the provisions of this paragraph shall apply to said additional portion of the island as if it were a part of the demised premises. (5) If the annual rental is not paid within thirty (30) days after the beginning of any lease year, or in case the lessee shall default in the performance of or breach any of the other covenants, conditions, terms and provisions of this lease and shall continue in such non-payment, default or breach after ninety (90) days notice in writing from the lessor, then the lessor in any such event may declare this lease terminated and may take possession of the demised premises and all the improvements thereon, subject to all outstanding leases and grants executed by the lessee in favor of third parties, and valid mortgages and liens created by such third parties, which shall continue in full force and effect in accordance with their terms, the lessor thereafter being entitled to all rents and profits which would otherwise accrue to the lessee therefrom; provided, however, the demised premises and any and all revenues therefrom theretofore made the subject of any valid pledge or lien as security for any indebtedness of the lessee or its said agency shall continue subject to any such pledge or lien and the owners or holders of notes, bonds, revenue certificates or other evidences of indebtedness secured by any such pledge or lien shall be protecz ted as to all rights and security granted to them or created for their benefit, if the creation of any such indebtedness was first approved by the lessor. (6) If lessee shall fully perform all the terms, provisions and conditions on its part to be performed for the full term hereof, this lease shall automatically be renewed for a further term of ninety-nine (99) years on the like covenants, provisions and conditions as are in this lease contained, including the right in lessee for further renewals. (7) As a part of the consideration for this lease lessee covenants and agrees that not later than December 31, 1958; it will accomplish the following: (a) It will complete a steel and concrete bridge, comparable to the present Sound bridge, at a place in the vicinity of Navarre, within a half mile of a line bisecting the Y of State Road 87 projected southerly to Santa Rosa Island parallel to the east boundary of said Santa Rosa County, and that it will charge toll rates thereon the same as those then being charged on the present Sound bridge, if any, and with no charge on the new bridge for the return to the mainland of vehicles that have crossed to the Islamd on the present Sound bridge operated by the lessor. If permission of the State Road Department and all others affected can be obtained, then the same free return of vehicles will be granted pver the present Sound bridge of the lessor for those who have paid toll charges to cross to the Island on the bridge of the lessee. If the present Sound Bridge is freed of tolls and lessee is unable to finance, or service the financing of said bridge construction without imposing a toll for the return to the mainland of vehicles that have crossed to the Island over the present Sound bridge, lessor agrees that a reasonable toll not in excess of that charged for entering the Island over the new bridge may be charged for such return. (b) To complete a standard highway in accordance with specifications of, and acceptable to, the State Road Department of Florida from said new bridge to the west line of the demised premises as a part of a proposed road connecting the two bridges. Should lessee fail to complete either of said projects within said time limit, or within such additional time, if any, as the lessor may see fit to allow, then the lessor may declare this lease terminated and take possession of the demised premises in accordance with, and subject to the conditions of, paragraph (5) above. (8) If for purposes of financing or any other purpose it is found reasonably necessary for the lessec to acquire a conveyance of all of the right, title and interest of the lessor and Escarnbia County in the demised premises, then the lessor agrees to co-operate with lessee in obtaining such conveyance and congressional and legislative approval therefor, if such approvals required. Lesse agrees to pay to the lessor the sum of $5,000.00 upon conveyance or relinquishment to it of any claim of Escambia County to the Demised premises and to reimburse the lessor and Escambia County for any and all expenses or disbursements reasonably incurred in connection with such conveyance or relinquishment. (9) Recognizing that the develoment of their respective portions of Santa Rosa Island is in the mutual interest of both parties to this agreement, and that each will benefit by helping the other, it is therefore further convenanted and agreed as follows: (a) The lessor will use its best efforts to assist lessee in obtaining a grant from the United States Government of the three mile strip hereinabove mentioned lying immediately east of the leased portion of the island on the same terms and conditions as the grant to Escambia County of its portion of said island. (b) Both parties will cooperate to the limit of their abilities in obtaining the construction of a standard highway or road in accordance with specifications of and acceptable to the State Road Department extending down Santa Rosa Island from the bridge of the lessor to the bridge to be constructed by lessee under this agreement. (c) Both parties will cooperate in seeking and providing an adequate supply of potable fresh water for all developed areas on the island. This cooperation shall include without limitation exploration for sources of fresh water, sinking of wells, construction of aqueducts, laying of pipe lines and the construction of towers, pumping stations and other installations and equipment, and the granting of well sites, easements and rights-of-way from either party to the other. IN WITNESS WHEREOF, this agreement is executed in duplicate, pursuant to due and lawful action of Santa Rosa Island Authority and the Board of County Commissioners of Santa Rosa County, Florida, authorizing its execution by their respective undersigned officials, this __ day of __ 195_. Millard Gilmore through his attorney Woodrow Melvin filed the following petition with the board for closing certain streets in Casablanca Subdivision Milton, Florida December 13, 1955 Board of County Commissioners Santa Rosa County, Florida Gentlemen: Comes now Millard Gilmore and files this his petition with the Board of County Commissioners of Santa Rosa County, Florida requesting the vacating, closing and abandoning of the following described County roads and streets as the same are delineated upon maps and plats recorded in the official plat book of Santa Rosa County, Florida, and described as follows: 3rd Avenue, located between Blocks 4 and 5; 4th Avenue, located between Blocks 5 and 6, and 5th Avenue, located East of Block 6, all according to the plat of Pensacola Shores, a subdivision, the plat of which subdivision is recorded in Plat Book A at page 44, plat records of Santa Rosa County, Florida. Petitioner alleges that neither of the county Streets, roads, avenues as above defined are maintained by Santa Rosa County, Florida, or the State Road Department of Florida, or any other person or agency, and further alleges that neither of such is a State road or a federal road. Petitioner further alleges that the granting of this petition will not inconvenience the general public but will aid in the development of the property adjacent to such streets and roads as shown in such Plat Book and page number as above described. This petition is filed pursuant to Section 343.42-46, Florida Statutes, 1955, and petitioner, requests the adoption of a resolution giving notice as provided in Section 343.43 Florida Statutes, and that upon a hearing being had, a resolution be adopted vacating, closing and abandoning said streets, avenues and roads and renouncing and disclaiming any right of the County and the public in and to the land delineated upon said map as said roads, streets and avenues above described.
