Temp Staff Attorney Position in Atlanta, GA that may last for a year: 2 + month contract assignnent with extension possibilites well past 1 year. Need Corporate Legal Experience. Staff Attorney for our Atlanta, GA office. Drafts and negotiates software license, maintenance and professional services implementation and development agreements, and other vendor and supplier agreements for the company and its subsidiaries. Supports the General Counsel as directed in corporate legal matters such as corporate governance, labor/employment/ issues, real property leases, disputes and litigation, and general corporate matters. ESSENTIAL DUTIES AND RESPONSIBILITIES • Drafts and negotiates software license, maintenance, professional services and development agreements and other vendor, supplier, third party software and miscellaneous agreements. • Analyzes proposed contract terms and conditions to determine conformity with company policy and works with executive management to develop contract language that conforms to company policy, meets with executive management approval and satisfies the requirements of the customer. • Prepares and maintains the company’s standard form agreements. • Prepares and/or reviews legal portions of proposal responses to prospective customers. • Balances complex internal legal and business requirements with customer requirements. Communicates company policies internally and externally. Builds consensus across corporate functions. • Handles disagreements, claims or complaints occurring in performance of contracts. • Supports General Counsel with involvement in other corporate matters such as corporate governance, labor/employment/ issues, real property leases, disputes and litigation, and general corporate matters. • Works with outside counsel on company matters. • Other duties may be assigned to support the company and its goals. QUALIFICATIONS: • Fluent Spanish speaking is a must. • Must have direct software license, maintenance and professional services contract experience. • International experience is beneficial. EDUCATION and/or EXPERIENCE: Must be a graduate of an accredited law school with four to six years of experience, including at least two years experience in a corporate legal department drafting and negotiating software license, maintenance and professional services contracts with a proven track record in negotiation directly with customers and interaction with internal sales staff and executive management. LANGUAGE SKILLS: Ability to draft contracts and responses to customers. Ability to effectively present information, and respond to questions from executive management, co-workers and customers. REASONING ABILITY: Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists. Ability to interpret a variety of instructions furnished in written, oral or schedule form. OTHER SKILLS AND ABILITIES: • Organization, communication, and administrative skills. • Accuracy and speed with computer processing, including Word and Excel • Excellent proofreading skills. • Ability to prioritize projects. • Excellent analytic and negotiating skills. • Ability to work independently with little or no supervision. • Ability to mediate disagreements. • Judgment to obtain advice assistance from General Counsel when appropriate. • Ability to successfully handle multiple projects at the same time. • Ability to meet customer, sales, and corporate deadlines. • Attention to detail.
