Why invest in First Stage... Growth Industry Despite the world wide downturn in the economy, the live entertainment industry has experienced continued and steady growth. Locally, theatre audiences continue to grow and people spend relatively large amounts of money on tickets. It is often difficult to obtain tickets to live theatrical events. Currency hedge First Stage has decided to trade its shares on the London ISDX Growth market exchange which will give our South African shareholders a good Rand hedge and hard currency diversification. This listing is is expected to take place before the end of 2013. A final date is dependant on international economic conditions, with particular emphasis on the economic climate of the European Union International market First Stage is already identifying potential international projects as well as potential subsidiaries that operate in the entertainment industry in Europe and the USA. Strategic alliances will be sought on an on-going basis while the company will actively pursue possible overseas acquisition opportunities. In each instance, the company will aim to acquire a controlling interest in the target company. Our strategy is to establish and expand our presence in South Africa’s largest market sectors and leverage our position in live entertainment to sell more tickets and grow our revenue streams surrounding the ticket purchase and live performances. We pay artists, venues and teams to secure content and we will provide the best access to buy the tickets. Our core businesses surrounding the live productions will include ticketing and e-commerce, artist management, sponsorship and onsite ancillary spend. We believe our focus on growing these businesses will increase shareholder value as we increase our exposure to higher margin revenue streams. We will also strengthen our core operations by expanding into top global markets and optimizing our cost structure. First Stage Entertainment aims to be the largest producer and presenter of live entertainment in South Africa. We will achieve this by employing /contracting the best available talent to deliver top quality entertainment to our audiences throughout South Africa and beyond. We will, in future, selectively explore international expansion opportunities, focus-sing on Europe and North America. A solid financial base will be achieved by inviting shareholders to invest in the company - thereby not only giving inves-tors a front row seat in the exciting world of show business, but also providing the opportunity to enjoy excellent finan-cial returns. Traditionally, investors could only invest in a particular production, thus only sharing in that production’s profits. The First Stage investment model allows investment in the company as a whole, thus ensuring larger profit share in the form of dividends, generated from a number of various productions. First Stage Entertainment is the first publicly traded live entertainment company in South Africa. The company’s shares will trade on the “Equity Ex-press” platform (Over-the-counter) locally and during the course of 2013, the company will list its entire is-sued share capital on the ISDX Growth Market in Lon-don, United Kingdom. To facilitate the offshore listing, the company has engaged LHM CASEY MCGRATH of Dublin, Ireland, to act as Corporate Advisors to the listing. Investment in the entertainment industry carries a host of unique risks. Potential advisors are therefore ad-vised to consult with their chosen professional advi-sors before making an investment in the company’s shares. Commencing in July 2013, the company and its two operating divisions (NTO & SANO), will produce, pre-sent and tour a total of 12 live, professional theatre productions throughout South Africa. Revenue is ex-pected to reach R52 million in 2013/2014, R64 mil-lion in 2014/2015 and R80 million in 2015/2016. Shareholders’ funds will be utilised to fund productions over a broad spectrum. In doing this, investors will share in all potential profits and losses and not just for one particular production or project. Upon listing on the ISDX Growth Market, shareholders will be able to trade freely in their shares, utilising the ISDX web platform. Because ISDX does not deal di-rectly with shareholders, it would be advisable to ap-point a broker to take care of your dealings. First Stage will also have a dedicated office to assist share-holders. CALL 0212020995 FOR MORE INFO NOW
