CONSTITUTION OF ------------------ BASKETBALL CLUB 1. TITLE 1.1 The name of the club shall be ------------ Basketball Club- herein after called the Club. 1.2 The home address of the club shall be ---------------, -------------------------, Lesotho. 1.3 The club shall be affiliated to Lesotho Basketball Association (LBA). 2. OBJECTIVES 2.1 To keep youth away from the street and reduce numbers of delinquent youth. 2.2 To provide an opportunity for members of all ages to play basketball. 2.3 To provide healthy life style for members. 2.4 To organise such social events as the members shall desire. 3. MEMBERSHIP 3.1 Fully paid up persons shall be members of the club with full voting rights at the AGM 3.2 The Executive Committee shall be responsible for considering any application for membership. 3.3 Membership will be lost at the discretion of the Executive Committee and no refunds of the subscriptions will be done. 3.4 Members will pay once-off joining fee and monthly subscription as agreed in the AGM. 3.5 There will be categories of membership that will be spelled out in the membership rules. 3.6 The Executive Committee shall have the power to take appropriate disciplinary actions against any member and shall have the authority to expel any member guilty of misconduct deemed to be detrimental to the well-being of the Club. 3.7 The Executive Committee may grant membership to a non-playing individual, who, in their opinion, makes a significant contribution to the well-being of the club. 4. FINANCE 4.1 The club shall raise funds through joining fees, monthly subscriptions, fines and any other fund raising activities. 4.2 Funds will be used to cover the tournaments, leagues and other match fees. 4.3 Subsidies for travel and attainment of qualifications for the club will be treated by the Executive Committee on a case by case basis. 5. THE EXECUTIVE COMMITTEE 5.1 The Executive Committee shall consist of: • Chairperson • Vice Chairperson • Secretary • Treasurer • Other elected members (i.e. Coaches, Team Manager, Captains) 5.2 All officers will retire annually but shall be eligible for re-election. 5.3 The Executive Committee shall be elected by membership at the AGM. 5.4 The Executive Committee shall not have power to vote at the AGM. 5.5 The Executive Committee shall be responsible for the day-to-day running of the club. 5.6 A vacancy, caused by death, illness or resignation, may be filled at the discretion of the Executive Committee. 6. THE ANNUAL GENERAL MEETING 6.1 The Annual General Meeting (AGM) will be held once a year at the end of National Basketball League and shall receive: • The Chairperson’s Report; • The Annual Report from the Secretary; • The balance sheet and accounts of the previous year from the treasurer. 6.2 The AGM shall: • Adopt the annual reports; • Elect a new Executive Committee; • Alter the Constitution. 7. CONDUCT OF THE ANNUAL GENERAL MEETING 7.1 Members shall receive invitations to the AGM three weeks before the date of the AGM. 7.2 Changes to the constitution or proposed agenda items shall be received by the Executive Committee two weeks before the AGM. 7.3 The quorum of the AGM shall be 50% of the membership plus one. 7.4 The agenda for the AGM will be circulated a week before the AGM. 7.5 A special general meeting may be called by the Executive Committee or 50% plus one of the membership and such a meeting shall be called within a month by the Executive Committee. 8. ALTERATION OF CONSTITUTION No alteration to the constitution will be made unless a notice by to the Executive Committee was given two weeks before the AGM and therefore to the general membership a week before the AGM and then only by a vote of two-thirds majority of the membership, in a duly convened AGM.
