Constitution of the Hamilton Blues Society May 2014 1. NAME The name of the society is Hamilton Blues Society. 2. NOT FOR PROFIT STATUS The Hamilton Blues Society is incorporated as a not­for­profit organization under the Canada Not­For­Profit Corporation Act (NFP Act). There are no owners of the Society. The Hamilton Blues Society is a separate legal entity and is not affected by changes in membership and leadership. Its existence continues in perpetuity unless its governing body, the Board of Directors, takes legal steps to disband or dissolve under the terms of this Constitution. Real property, financial assets, and donated equipment and resources of all dimensions and origins are not to be assumed or implied as owned by members, officers, or directors. 3. MISSION The Hamilton Blues Society exists to document, preserve and promote the performance and history of blues music and musicians in Hamilton, Ontario and the surrounding region. 4. VISION We believe: ● that the blues genre of music is a foundational and integral part of our communitys music scene, and that Hamilton has a unique style and history of blues music which is worth discovering, fostering, and sharing. ● in contributing to our artistic and business community with a spirit of cooperation, respect, and support. ● in the value of nurturing musicians and upholding the ideals of the music profession. ● in creating and promoting an open, inviting community where local musicians are encouraged to cooperate, create and perform their own music, and to promote a greater experience of our local blues music within the Hamilton region and beyond.. ORGANIZATIONAL STRUCTURE Membership of the Society is open to anyone who subscribes to the Society’s purpose and agrees to abide by the terms of this Constitution and accompanying Bylaws. Each Member is expected to participate with good will in the activities of the Society and to maintain their membership in good standing. The Society will be governed by a Board of Directors made up of members of the Society, whose size will be determined from time to time as needed. 6. AMENDMENTS This Constitution may be amended in whole or in part by resolution carried by a two­thirds majority of the votes of the Members entitled to vote being present at any Annual or Extraordinary General Meeting of the Society of which the required notice has been given. No amendment is to be approved if it has the effect of altering the charitable nature or purpose of the Society.
