Morallo Advisers INSTITUTE OF ELECTRONICS ENGINEERS OF THE PHILIPPINES, INC., – NORSU STUDENT CHAPTER (IECEP – NSC) CONSTITUTION AND BY-LAWS PREAMBLE We, who are dedicated to the task of applying to human needs and principle of electronics and communications and/or allied advancement of our people and humanity and knowing that through concentrated efforts can we most effectively be of service to our country, to bind ourselves together into a body, the INSTITUTE OF ELECTRONICS ENGINEERS OF THE PHILIPPINES, INC., Negros Oriental State University, Student Chapter do hereby promulgate and ordain this constitution and by-laws. ARTICLE I. The name of the organization shall be: INSTITUTE OF ELECTRONICS ENGINEERS OF THE PHILIPPINES (IECEP) – NORSU STUDENT CHAPTER. ARTICLE II. Fiscal year and seal of the Institute Section 1. Fiscal year of the institute shall be from June 1 to May 31 of the following year. Section 2. The official seal of the institute shall be hexagonal in form and two inches in diameter with embossed lettering “INSTITUTE OF ELECTRONICS ENGINEERS OF THE PHILIPPINES” inscribe around the border with a year 1950 being on the base of the said border immediately below the map of the Philippines shown in the partial world map. ARTICLE III. Organizational Structure, Members and Officers Section 1. The Organizational Structure, Members and Officers a. The student organization shall be composed of bona fide ECE students. b. The five year level comprising of the following: 1. First Year 2. Second Year 3. Third Year 4. Fourth Year 5. Fifth Year c. Third year, fourth year, and fifth year levels shall be independent of the Visayas Regional Chapter while first year and second year level shall be dependent of the NORSU Chapter d. The Institute of Electronics Engineers of the Philippines - Negros Oriental University Student Chapter officers shall be composed of: 1) Executive Officers President (5th year) Vice-Presidents (5th year) Secretary (5th/4th year) Treasurer (5th/4th year) Auditor (5th/4th Year) P.R.O.’s: External Affairs (3rd – 5th year) Internal Affairs (3rd – 5th year) 2) Board of Directors One (1) from fifth year One (1) from fourth year One (1) from third year 3) Representative One (1) from first year One (1) from second year Section 2. The Executive Officers shall consist of all elected officers determined through majority vote. Section 3. Every officer shall hold office for one academic year and can be reevaluated, and re-elected if a need to so occur. Section 4. Vacancies occurring in any office shall be filled in the same manner, which governs a general election. Appointments of officers to a vacant position shall be made by the existing officers in cases, which demand immediate action (e.g. time constraints in calling a body meeting). Section 5. The officers shall return all records and properties belonging to the organization within a month after terms has expired. ARTICLE IV. Duties and Responsibilities of Elected Officers Section 1. Duties of the President. It shall be duty of the President, who must be a bona fide fifth (5th) year ECE student to: a. Act as chairman of the institute b. To convene and preside over all General, Executive, Representatives and Committee meetings; c. Preside over a special meeting of the institute. d. To authenticate by his signature, when necessary, all acts, orders and proceedings of the organization; e. Approve or disapprove expenditures in accordance with the current budget of the institute; f. Submit to the members of the institute during meeting his/her reports on the activities and accomplishments as well as financial conditions of the institute during his/her incumbency. g. To represent the organization in all official functions in which the organization may participate or, in case of unavailability must send a representative particularly a member of the Executive Body; h. To create special committees for special projects or activity whenever the need arises provided that the Executive Body approves; i. To facilitate activities in every way compatible with the rights of the members; Section 2. Duties of the Vice-President. The Vice-President shall assume the duties and powers of the President during the latters absence, incapacity, resignation, or impeachment, until a new President shall have been elected, therefore he shall serve as executive officer of the institute and as such shall; a. See to it that the implementation of the policies and programs laid down by the president is properly carried out; b. Coordinate the activities of the different committees of the institute to prevent overlapping of functions and ensure efficiency and success in all undertaking; c. Sign all routinely correspondence of the institute and; d. Inspect from time to time, but at least once at the close of the fiscal year, the record of the institute, see to it that they are properly kept and submit a report of findings to the president. Section 3. Duties of Secretary. It shall be the duty of the Secretary to: a. To keep a record to all general and Executive Board meetings; b. To keep a record of all decisions, resolutions, plans and article of the organization; c. To sign all certified copies of facts of the organization, unless otherwise specified by the by-laws; d. To maintain an up-to-date directory of the organizations members; and e. To perform other duties as may be assigned to him/her by the President. Section 4. Duties of the Treasurer. The Treasurer shall be bounded in an amount proportionate to the cash and liquid assets of the institute during his/her incumbency, and it shall be his/her duty to: a. To serve as the official custodian of the organization; b. To collect all membership dues and necessary fees from the members; c. Issue official receipt for each of the payment and/or collection received; d. To make a full financial status report of the organization at the end of any activity during any Executive Board meeting; e. To report on the financial of the organization during any general meeting if a need to do so occurs, financial status reports shall be made at the end of each Semester; f. To be responsible for the procurement of equipment, article and supplies that may be authorized by the Executive Board; and g. To perform such duties as may be assigned to him/her by the President. Section 5. Duties of the Auditor. It shall be the duty of the Auditor to: a. To review, approve, and prepare audit reports and findings and sees to it that such financial statements are fairly presented; b. To make regular recommendations to the President on matters that directly affects the financial status of the organization vis-à-vis the activities undertaken by the organization; c. To be responsible for the audit activities performed within the organization; and d. To perform such duties as may be assigned to him/her by the President. Section 6. Duties of the Public Relation Officers (P.R.O.s). It shall be the duty of the Public Relation Officers (P.R.O.s) to: a. External Affairs: 1. To assist the President or the Vice-President in all organizational meetings and whenever his/her assistance is required; 2. To take charge of all matters pertaining to relations between the organization and the NORSU Administration in order for the organization to efficiently carry out its objectives; 3. To transact business matters with proper authorities in connection with the activities of the organization that are to be held outside the school campus; and 4. To perform such duties as may be assigned to him/her by the President. b. Internal Affairs: 1. To assist the President or the Vice-President in all organizational meetings and whenever his/her assistance is required; 2. To transact business matters with proper authorities in connection with the activities of the organization that are to be held inside the school campus; and 3. To perform such duties as may be assigned to him/her by the President. Section 8. Duties of the Board of Directors. The Board of Directors shall serve as the legislative and judicial body of the organization. It shall be their duty: a. To interpret the constitution of the organization and to act all upon amendments; b. To advise the President on all courses of action to be taken; c. To decide all policies, projects, and activities of the organization; d. To screen each applicant for membership or for an elective position and decide his/her qualification; e. To decide all cases of expulsion, resignation, and re-admission of regular members; and f. To choose advisers for the organization with the condition that the adviser must be a regular member of the Institute of Electronics Engineers of the Philippines, National Chapter and/or a full time instructor of the College. g. To perform other duties as may be assigned to them by the President. h. To approve any ratification or amendment to the constitution and bylaws of this organization. Section 9. Duties of the Representative. a. Handle the task of keeping the member of his assigned year level of the institute informed and represents as the voice of the said year level. b. To perform other duties as may be assigned to them by the President. ARTICLE V. Duties, Rights, and Privileges of the Members Section 1. Duties of the Members Members of the institute shall comply with the following duties: a. To obey the rules and regulations of the institute; b. To abide by the by-laws and code of ethics of the institute of all times; c. To conduct themselves at all times in such manner as to reflect honor and credit to the institute, and to report to the president or any other officer of the institute any members who fail to comply with his duty. d. To pay all dues regularly and promptly. e. To perform other duties as may be assigned to them by the President. Section 2. Rights and Privilege of Active Member. Active membership of the institute entitles as the member to the right privilege herein below specified: a. To attend all general meetings and to actively participate in the deliberations and processing of the institute except in the case of honorary and industrial members who may join in the discussion of their option; b. With the exception of honorary, institutional associate and the student members, to vote in accordance with the by-laws, provided that in case of the student members, the right to vote shall apply to the election of the student chapter. c. To receive free of charge, any and all publications of the proceedings of the institute and such other pertinent papers from time to time be published by the institute. d. All of the above mentioned rights and privileges automatically cease upon the members’ separation from the institute, whether shall not be resumed or availed again until the members concerned has been readmitted to the institute. ARTICLE VI. Meetings Section 1. The following are the regular meetings of the organization: a. General Meeting - it should be held regularly at least once a month and in case where and when the President deems it necessary. b. Board of Directors Meeting - it is held at the discretion of the President or at the request of any of the members. a. Special Meeting - it is held at the discretion of the President or when there are matters of general interest on which urgency is required. b. Executive Meetings - it should be held regularly at least once a month and whenever the President deems it necessary. ARTICLE VII. Financial Provisions Section 1.Every member of the organization shall be charged a membership fee amounting to 150 pesos per semester. Membership to the IECEP-National Student Chapter would only include 5th year members and officers. This is because privileges given to members are more applicable and useful to 5th year members, who seems useless to 3rd year and 4th year members. Membership to the IECEP-Regional Student Chapter would only include 5th year, 4th year, and 3rd year members and officers. This is because privileges given to members are more applicable and useful to 5th year, 4th year, and 3rd year members. Contribution for any social affair or project of the organization shall be solicited from the member, provided that the general body duly approves such contributions. Membership can be subject to change as may be deemed necessary, provided that such changes of collections are presented through an organization resolution duly approved by the Executive Officers and the Board of Directors and concurred by the organization Adviser. Any other collections as may be deemed necessary, provided that such collections are presented through an organization resolution duly approved and concurred by the organization Adviser. Section 2. All payments to the institute shall be covered by the official receipts, indicating the thereon the amount paid, the purpose of which payment is made, and in case of dues, the period covered by the payment. The treasurer and the secretary are authorized to accept payment and issued receipts therefore. Section 3. The use of the funds, in order to achieve the objectives of the organization shall be decided upon by the Institute. External solicitations can be resorted to, provided that such solicitations are done through legitimate means, and provided further that such solicitations are approved through an Executive Board Resolution duly concurred and approved by the IECEP Adviser. Section 4. Money accruing to the institute may be used for the following purpose: a. Publication of the proceedings of the institute including technical papers, educational materials and such matters which institute is engaged; b. Acquisition of equipment rights and real property of every description; c. Payments of the membership fees and dues in any society or organization/federation of the institute as may found necessary to be bounded d. Traveling expenses, and per diem of the officers and members of the institute of the official business related to its existence; e. Such expenses if the institute maybe considered necessary for the effective implementations with the programs and projects of the institute. Section 5. The financial balance left by any outgoing set of officers shall be automatically carried over to the funds of the incoming set of officers during any term. ARTICLE VIII. AMENDMENTS Section 1. During any general meeting proposed amendment(s) to this constitution must be read by its author and referred to the Board of Directors for study and deliberation. The next general meeting, the President shall report on the action taken by the Board of Directors regarding the proposed amendments. Section 2. The Constitution and By-Laws of the Institute of Electronics Engineers of the Philippines, NORSU Student Chapter, may be amended by a vote of all Board of Directors and at least two-thirds (2/3) of all executive officers during the executive board meeting for its adoption and promulgation. ARTICLE IX. Advisers Advisers for the organization with the condition that the adviser must be a regular member of the Institute of Electronics Engineers of the Philippines, National Chapter and/or a full time instructor of the Negros Oriental State University. ARTICLE XII. EFFECTIVITY This Constitution and by-laws of the IECEP organization, NORSU Chapter, shall take effect upon its ratification by its officers, the result of which is determined through the vote of the executive officers. Upon the approval of the B.O.D.s affixed to CONFORME page of this Constitution shall be a sufficient proof for the Promulgation and effectivity of this Constitution.
