In the deal, anyone who has capital gains accrued in Medtronic stock will be paying hefty capital gains taxes because of the way the deal is structured. The execs are well aware of this, and have built in extra payments to all of the insiders to compensate them for the increased tax, but that little perk is not being provided to the average Joe. So, they are using your money to avoid US tax for THEM while also using your money to avoid legitimate US (and thereby starve the US government of taxes to provide things like roads, bridges, schools, & medical research). Stop THEM!
