The perfect non-disclosure agreement (and top 5 NDA pet peeves) Among the nearly infinite variety of legal agreements in use today, the non-disclosure agreement is by far the most ubiquitous. Thousands of NDAs are signed on a daily basis. Every company has its own unique NDA template; paradoxically, many companies sign the opposite partys template more often than not. The party larger in size, reputation, market cap, or perceived importance usually wins the battle of the NDA form. This NDA ritual takes place thousands of times a day all over the world. If measured only by the frequency of its use and the significance of its impact, an enterprises NDA template is arguably its most important. Ive posted for collaboration in Redline (redlineforlawyers) what I believe to be the optimal non-disclosure agreement. Its one page in length and achieves perfect simplicity and balance. (Ive also described my top 5 NDA irritants that I see on a regular basis.) However, other Redline members disagree with me, and improvements to my template have been posted.
